Special Involuntary Termination definition

Special Involuntary Termination means the occurrence of (1) or (2) below within 60 days prior to, or at any time after, a Change in Control, where (1) is termination of your employment with the Company (including Subsidiaries of the Company) by the Company for any reason other than Cause and (2) is your resignation from employment with the Company (including Subsidiaries of the Company) within 90 days after an Adverse Change by the Company (including Subsidiaries of the Company) in the terms of your employment.
Special Involuntary Termination means the occurrence of (1) or (2) below within sixty (60) days prior to, or at any time after, a “Change in Control” (as defined in Section 4(d)(i)), where (1) is termination of the Executive’s employment with the Company (including subsidiaries of the Company) by the Company for any reason other than “Cause” (as defined in Section 4(d)(vii)) and (2) is a resignation by the Executive from employment with the Company (including subsidiaries of the Company) within ninety (90) days after an “Adverse Change” (as defined in Section 4(d)(viii)) by the Company (including subsidiaries of the Company) in the terms of the Executive’s employment.
Special Involuntary Termination means (i) the occurrence of (A) or (B) below within 60 days prior to, or at any time after, a Change in Control, where (A) is termination of your employment with the Company (including subsidiaries of the Company) by the Company (or any subsidiary) for any reason other than Cause and (B) is your resignation from employment with the Company (including subsidiaries of the Company) within 90 days after an Adverse Change by the Company (including subsidiaries of the Company) in the terms of your employment or (ii) the occurrence of (A) or (B) below within 60 days prior to, or within 90 days after, a Sale of a Division, where more than 50% of your full-time service to the Company is attributable to services to the Division being sold, as determined by the Company in its sole discretion, and provided that the purchaser in any Sale of a Division has not agreed to assume this Award or to substitute a similar award under the purchaser’s equity compensation plan for your Award and where (A) is termination of your employment with the Company (including subsidiaries of the Company) by the Company (or any subsidiary) for any reason other than Cause and (B) is your resignation from employment with the Company (including subsidiaries of the Company) within 90 days after an Adverse Change by the Company (including subsidiaries of the Company) in the terms of your employment.

Examples of Special Involuntary Termination in a sentence

  • In the event of a Special Involuntary Termination, all of the RSUs granted pursuant to this Agreement will become Vested.

  • In the event of a Special Involuntary Termination, all of the Phantom Units granted pursuant to this Agreement will become Vested.

  • If the Special Involuntary Termination occurs following the Change in Control and the RSUs are assumed or are otherwise continued following the Change in Control, then the RSUs will become Vested on the date of the termination of employment.

  • In the event of a Special Involuntary Termination before the end of the Performance Period, no Performance Units shall be forfeited, and payment with respect to 200% of the Performance Units shall be made as soon as administratively practicable following the Special Involuntary Termination, but in no event later than 90 days after the date your employment or service relationship terminates.

  • In the event of a Special Involuntary Termination, all of the RSUs granted pursuant to this Agreement will become Vested immediately following such Special Involuntary Termination.

Special Involuntary Termination means within 60 days prior to, or at any time after, a Change in Control (or, in the case of a Sale of a Division, within 90 days after such sale) the occurrence of either: (A) termination of your employment by the Company (or any subsidiary) for any reason other than Cause that results in you no longer being employed by the Company or any of its subsidiaries, or (B) your resignation from employment within 90 days after an Adverse Change by the Company (including subsidiaries of the Company) that results in you no longer being employed by the Company or any of its subsidiaries. In the case of a Sale of a Division, Special Involuntary Termination shall only apply if more than 50% of your full-time service is attributable to services to the Division, as determined by the Company in its sole discretion.
