Special Regular Trustee definition

Special Regular Trustee means a Regular Trustee appointed by the Holders of a Majority in liquidation amount of the Preferred Securities in accordance with Section 5.6(a)(ii)(B).
Special Regular Trustee means a Regular Trustee appointed in accordance with Section 4.2(a)(ii)(B) if the Certificate of Terms of a series of Preferred Securities provides for the appointment of a Special Regular Trustee upon the occurrence of certain events.
Special Regular Trustee means a Regular Trustee appointed by the Holders of a Majority in Stated Amount of the Preferred Securities in accordance with Section 5.02(a)(ii)(B).

  • A Trustee appointed to office shall hold office until his successor shall have been appointed or until his death, removal or resignation, provided that a Special Regular Trustee shall only hold office while an Appointment Event is continuing and shall cease to hold office immediately after the Appointment Event pursuant to which the Special Regular Trustee was appointed and all other Appointment Events cease to be continuing.

  • No amendment may be made to this Section 5.1 or Section 5.2(a)(ii)(B), which would change the rights of Holders of Preferred Securities to appoint, remove or replace a Special Regular Trustee except with the consent of each Holder of Preferred Securities.

  • Any action taken by (i) Holders of Common Securities pursuant to this Article V or (ii) Holders of Preferred Securities pursuant to this Article V to appoint or remove a Special Regular Trustee upon the occurrence of an Appointment Event, shall be taken at a meeting of Holders of Common Securities or Preferred Securities, as the case may be, convened for such purpose or by written consent as provided in Section 12.2.

  • No amendment may be made to this Section 5.1 which would change any rights with respect to the number, existence or appointment and removal of Trustees (other than any Special Regular Trustee), except with the consent of each Holder of Common Securities.

  • Only one Special Regular Trustee shall be appointed with respect to all series of Preferred Securities upon whom the right to appoint a Special Regular Trustee upon the occurrence of an Appointment Event shall have been conferred pursuant to the Certificate of Terms for such series notwithstanding that such right with respect to a series of Preferred Securities becomes exercisable subsequent to a Special Regular Trustee having been appointed by any other series of Preferred Securities.

  • No amendment may be made to this Section 4.1 which would change any rights with respect to the number, existence or appointment and removal of Trustees (other than any Special Regular Trustee), except with the consent of each Holder of Common Securities.

Related to Special Regular Trustee

  • Regular Trustee means any Trustee other than the Property Trustee and the Delaware Trustee.

  • Liquidating Trust Agreement means an agreement evidencing the terms and provisions governing a Liquidating Trust that shall be entered into prior to the establishment of such Liquidating Trust and pursuant to which a Liquidating Trustee shall manage and administer Liquidating Trust Assets.

  • Liquidation Trust Agreement means the Liquidation Trust Agreement to be dated as of the Effective Date establishing the terms and conditions of the Liquidation Trust, substantially in the form attached hereto as Exhibit B.

  • Liquidating Trustee has the meaning set forth in Section 6.2(a).

  • Master Trust Agreement means the Second Amended and Restated Trust Agreement, dated as of May 8, 2019, between Verizon ABS II LLC, as depositor, and the Master Trust Owner Trustee, as amended, restated, supplemented or modified from time to time.

  • Liquidating Trust means the liquidating trust maintained by the Trustee holding the Trust Assets of the Partnership, identified as the "PLM Equipment Growth Fund III Liquidating Trust"; also referred to herein as the "Trust."

  • Business Trust Statute means Chapter 38 of Title 12 of the Delaware Code, 12 Del. Code ss. 3801 et seq., as the same may be amended from time to time.
