Special Representation definition

Special Representation is defined in Section 7.3(e).
Special Representation means any representation or warranty (A) in Sections 3.1 (Organization and Good Standing), 3.2 (Capitalization), 3.3(a) or 3.3(b) (Authority and Authorization; Conflicts), 3.5 (Taxes), 3.12 (Environmental Matters), 3.16 (Employee Benefits), 4.1 (Organization and Good Standing) or 4.2(a) or 4.2(b) (Authority and Authorization; Conflicts) or (B) that is fraudulently made.
Special Representation is defined in SECTION 8.4(a).
