Special Reserve definition

Special Reserve is defined in Section 3.07(b) of this Agreement.
Special Reserve means a number of shares reserved and available for issuance under the terms of the Plan equal to 3% of the total shares reserved under the Plan as determined by and set forth under Section 4 below as such section may be amended from time to time in accordance with the terms of this Plan.
Special Reserve means an additional regular reserve account of the credit union, established and required by the superintendent, to be set aside against losses from loans or other contingencies, in accordance with Iowa Code chapter 533.

  • While compliance with the checks presented letter of credit methodology will minimize funds on hand, the Carrier shall invest and reinvest all funds on hand, including any in the Special Reserve or any attributable to the reserve for incurred but unpaid claims, which are in excess of the funds needed to discharge promptly the obligations incurred under the contract.

  • The Custodian Account is established to account for appropriations by the State of Alaska Legislature available to fund the Special Reserve Accounts.

Special Reserve means other protected areas such as:
Special Reserve means a reserve in the amount of $5,000,000, provided, that, upon the delivery of Borrowers’ financial statements to Agent pursuant to Section 9.7, 9.8 or 9.9, as applicable, such amount shall be reduced to (x) $2,000,000, if such financial statements evidence that Borrowers’ EBITDA for the twelve months then ending is not less than $15,500,000 and (y) $0, if such financial statements evidence that Borrowers’ EBITDA for the twelve months then ending is not less than $17,500,000, in each case, so long as (i) the Compliance Certificate accompanying such financial statements certifies that no Default or Event of Default exists and (ii) Borrowers’ Average Undrawn Availability for the thirty (30) day period immediately preceding the date of such proposed reduction shall be no less than $5,000,000.
Special Reserve means an area set aside in which characteristic wild life requires protection and in which all other interests and activities are subordinated to this end;
Special Reserve has the meaning set forth in Section 5.11 hereto.
Special Reserve means a reserve in the amount of $10,000,000, provided, that, upon the delivery of Borrowers’ financial statements to Agent pursuant to Section 9.7, 9.8 or 9.9, as applicable, such amount shall be reduced to (x) $5,000,000, if such financial statements for the two (2) most recently ended consecutive fiscal quarters evidence that Borrowers’ EBITDA for the twelve (12) months then ending is not less than $15,000,000 and (y) $0, if such financial statements for the two (2) most recently ended consecutive fiscal quarters evidence that Borrowers’ EBITDA for the twelve (12) months then ending is not less than $17,000,000, in each case, so long as (I) Borrowers have made a written request to Agent for such reduction within forty-five (45) days of delivery of such financial statements evidencing satisfaction of the applicable hurdle referenced above and (II) the Compliance Certificate accompanying such financial statements certifies that no Default or Event of Default exists.”
