Specified Geographic Area definition

Specified Geographic Area means any city, town, municipality or environs in which the Company provides the Restricted Business as of or immediately prior to the Termination. It is understood that the Specified Geographical Area set forth in this Section 13 is divisible so that if this Section 13 is found to be invalid or unenforceable in an included geographical area, that area shall be severable and this Section 13 shall remain in effect for the remaining included geographical areas in which this Section is valid.
Specified Geographic Area means each and every city, county, parish or other political subdivision within a fifty (50) mile radius of the Business Facility.
Specified Geographic Area means the provinces of Zhejiang, Jiangsu and Hebei, the cities of Beijing and Shanghai and each and every province, city, county, parish or other political subdivision within a two hundred (200) mile radius of any store, counter, distribution location, or other locations in the provinces of Zhejiang, Jiangsu and Heibei, the cities of Beijing and Shanghai, as well as anywhere in the countries of China, in which the Restricted Sellers conducted its Business or otherwise distributed, licensed, marketed or sold its products or services as of the Closing Date or at any time during the twelve (12) month period immediately preceding the Closing Date, so long as Buyer, or any person or entity deriving title to the goodwill or ownership interest from Buyer, carries on and conducts a like Business therein.

  • During the Restricted Period, the Members (including Affiliates) shall not, directly or indirectly, solicit, encourage, assist, facilitate or induce any customer, client or supplier of Seller as of the Closing Date (or who were such at any time during the six (6) month period immediately preceding the Closing Date), to breach any agreement or contract with, or to discontinue or reduce his, her, or its business relationships with, the Business being acquired by Buyer within the Specified Geographic Area.
