As of the date hereof, except with respect to the Specified Officers and those employees listed on Schedule A hereto, all employees actively engaged on a regular basis in the business conducted by the WhiteWave Group are employees of a member of the WhiteWave Group.
The employment of the Specified Officers, any employee of ▇▇▇▇ Foods identified on Schedule A hereto and any other employee of ▇▇▇▇ Foods that the Parties agree to add to Schedule A after the date hereof (the “Transferred Employees”) will be transferred immediately prior to the IPO to WhiteWave, WWF Operating Company or such other member of the WhiteWave Group as WhiteWave shall designate.

For all purposes in this Agreement, any reference to “Specified Officer” contained herein shall be in reference to such individual solely in his or her capacity as such and to the extent any terms or provisions hereof that apply to Officers appear to conflict with any term or provision that applies to Specified Officers the terms and provisions that apply to Specified Officers shall control.
As of the date hereof, none of the Specified Officers has notified any of the Partners' Representatives that he or she intends to resign within one (1) year after the Closing of the transactions contemplated by the Transaction Documents.
