SpinCo Stock Value definition

SpinCo Stock Value means the simple average of the volume weighted average per-share price of SpinCo Shares trading on the NYSE during each of the first five (5) full Trading Sessions immediately after the Effective Time.

SpinCo Stock Value means the closing per-share price of SpinCo Shares on the NYSE on the first regular trading session (9:30 a.m. to 4:00 p.m. EST) commencing after the Effective Time.

SpinCo Stock Value means (i) the Base Exchange Ratio, multiplied by (ii) $10 per share.
