Sponsor Member definition

Sponsor Member means a member of Sponsor who becomes party to this Agreement as a Permitted Transferee of Sponsor.

Sponsor Member means any Member who has joined the FIDO Alliance at the Sponsor 211 Member class of membership as defined in Section 11.

Sponsor Member means a member of Sponsor who becomes party to this Agreement as a Permitted Transferee of Sponsor. “Subscription Agreements” shall have the meaning given in the Recitals hereto.

Examples of Sponsor Member in a sentence

• The effective term of an officer will cease upon (i) his or her death, (ii) the resignation of the officer, termination of employment, directorship or the engagement as officer by the appointing Sponsor Member, (iii), or when the appointing Sponsor Member ceases to be a Sponsor Member.

• Each Sponsor Member may designate a single observer to attend meetings of the Board when such Sponsor Member’s nominated member of the Board is unable to be present, provided that such member provides prior notice to the chairperson.

• The effective term of a Board member will cease regardless of the one-year (1) term upon (i) his or her death, (ii) the resignation of the member, termination of employment, directorship or the engagement as officer by the appointing Sponsor Member, (iii) appointment of a successor or replacement member by the Sponsor Member, or (iv) when the appointing Sponsor Member ceases to be a Sponsor Member.

• All payments made under this Guaranty shall be made together with such additional amounts, if any, as may be necessary to ensure that, after withholdings or deductions as the Guarantor may be required by law to make, the amount received by the Beneficiary from the Guarantor will be the same amount as would have been received had such amount been duly paid by the Sponsor Member in accordance with the applicable Guaranteed Agreement.

• Each member of the Board nominated by a Sponsor Member shall be and remain an employee, officer, or director of the Sponsor Member that nominated such member.

More Definitions of Sponsor Member

Sponsor Member means any direct or indirect equityholder of Sponsor as of the date of this Agreement.

Sponsor Member shall have the meaning set forth in the LLC Agreement.

Sponsor Member is defined in the recitals hereto.

Sponsor Member means a company interested in a major influence on Alliance's direction, being ready to participate actively in Alliance's management, financial costs, promotion, and technical developments.

Sponsor Member means a member of Sponsor who becomes party to this Agreement as a Permitted Transferee of Sponsor. For the avoidance of doubt, the Registrable Securities held by a Sponsor Member for the purposes of this Agreement shall include, whether held directly or indirectly, all Registrable Securities held by such Sponsor Member.

Sponsor Member means the SL Member and the KKR Member, respectively.

Sponsor Member means, collectively, 22C Members, Carlyle Members and TA Members.
