Sprint Agreements definition

Sprint Agreements means, collectively, the Sprint Master Agreement, the Sprint Retail Stores Transfer Agreement and various other agreements related to the Transactions described in the Sprint Master Agreement and the Sprint Affiliate Agreements.

Sprint Agreements means the Sprint Master Agreement and the other agreements between Sprint and SPC or their respective Affiliates contemplated thereby or executed in connection therewith.

Sprint Agreements means the Sprint Management Agreement, Sprint Services Agreement, the Sprint License Agreements and all other contracts, agreements or understandings entered into between the Borrower or any of its Subsidiaries on the one hand and Sprint Corporation or any of its Affiliates, on the other hand. "Sprint Communications Company, L.P." shall mean Sprint Communications Company, L.P., a Delaware limited partnership.

• In such case the Sprint Agreements shall remain in full force and effect with the buyer as Successor Manager and this Consent and Agreement shall remain in full force and effect for the benefit of the Successor Manager and any Person providing senior secured debt financing to such Successor Manager if required by such Person.

• The Administrative Agent Designee may continue to serve as Interim Manager after the initial six-month period at the Administrative Agent's discretion, so long as the Administrative Agent Designee continues to satisfy the Successor Manager Requirements and it does not materially breach the terms of the Sprint Agreements.

• The Administrative Agent shall accept Sprint Spectrum and any Sprint Spectrum Designee that is then acting as an Other Manager (other than Affiliate) to act as Interim Manager under the Sprint Agreements.

• Sprint Spectrum agrees, with respect to any past failure of Affiliate to perform any obligation under the Sprint Agreements, that the Successor Manager shall have the same amount of time to perform such obligation that Affiliate had under the Sprint Agreements, with the performance period commencing on the date on which the buyer becomes a Successor Manager.

• If Sprint Spectrum acts as Interim Manager or designates a Sprint Spectrum Designee to act as Interim Manager under the Sprint Agreements, the Interim Manager shall serve as Interim Manager for up to six months from the Commencement Date, at the discretion of Sprint Spectrum.

Sprint Agreements means the Management Agreements, the Sprint PCS Services Agreements, the Sprint Spectrum Trademark and Service Xxxx License Agreements and the Sprint Trademark and Service Xxxx License Agreements entered into by (i) Texas Telecommunications, LP as of December 23, 1999, (ii) Alamosa Wisconsin Limited Partnership as of December 6, 1999, (iii) Xxxxxxx Wireless Communications, L.L.C. as of June 8, 1998, (iv) Washington Oregon Wireless LLC as of January 25, 1999 and (v) Southwest PCS, L.P. as of July 10, 1998.

Sprint Agreements means the (1) Management Agreement between SprintCom, Inc. and AirGate, dated as of July 22, 1998, and any exhibits, schedules or addendum thereto, as such may be amended, modified or supplemented from time to time (the "Management Agreement"); (2) Sprint PCS Services Agreement between Sprint Spectrum L.P. and AirGate, dated as of July 22, 1998, and any exhibits, schedules or addendum thereto, as such may be amended, modified or supplemented from time to time, (3) Sprint Trademark and Service Xxxx License Agreement between Sprint Communications Company, L.P. and AirGate, dated as of July 22, 1998, and any exhibits, schedules or addendum thereto, as such may be amended, modified or supplemented from time to time (the "Trademark Agreement"); and (4) Sprint Trademark and Service xxxx License Agreement between Sprint Spectrum L.P. and AirGate, dated as of July 22, 1998, and any exhibits, schedules or addendum thereto, as such may be amended, modified or supplemented from time to time (the "Spectrum Trademark Agreement").

Sprint Agreements means (a) the Sprint Trademark and Service Mark License Agreement, dated as of November 5, 1999, by and between Sprint Communications Company, L.P. and Shenandoah Personal Communications Company (as amended), (b) the Sprint Spectrum Trademark and Service Mark License Agreement, dated as of November 5, 1999, by and between Sprint Spectrum L.P. and Shenandoah Personal Communications Company (as amended), (c) the Management Agreement, (d) the Sprint PCS Services Agreement, dated as of November 5, 1999, by and between Sprint Spectrum L.P. and Shenandoah Personal Communications Company (as amended), and (e) any and all other agreements and arrangements related to the foregoing.

Sprint Agreements means (a) the Sprint Trademark and Service Xxxx License Agreement, dated as of November 5, 1999, by and between Sprint Communications Company, L.P. and Shenandoah Personal Communications Company (as amended), (b) the Sprint Spectrum Trademark and Service Xxxx License Agreement, dated as of November 5, 1999, by and between Sprint Spectrum L.P. and Shenandoah Personal Communications Company (as amended), (c) the Management Agreement, (d) the Sprint PCS Services Agreement, dated as of November 5, 1999, by and between Sprint Spectrum L.P. and Shenandoah Personal Communications Company (as amended), and (e) any and all other agreements and arrangements related to the foregoing.

Sprint Agreements means the long term agreements, including management agreements, service agreements, and trademark and license agreements, entered into by certain operating subsidiaries of the Company with Sprint PCS, granting such operating subsidiaries with the right, among other things, to exclusively market PCS products and services under the Sprint and Sprint PCS brand names in such operating subsidiaries’ markets.

Sprint Agreements means (i) the Operator Agreement, (ii) the Technology and Know-How License Agreement, dated as of March 15, 2000, by and between Holdings and Sprint Spectrum L.P. ("Sprint") and (iii) the Trademark License Agreement, dated as of March 15, 2000, by and between Holdings and Sprint Communications Company L.P. each as assigned by Holdings to Borrower.

Sprint Agreements means, collectively, the two Sprint PCS Management Agreements, one dated June 8, 1998 and one dated February 8, 1999, between LA Unwired, and any similar agreement entered into between Texas Unwired and Sprint, as heretofore amended and supplemented, and related services, trademark, service xxxx, and other agreements, as any such agreement may be amended or supplemented from time to time, and all other agreements entered into between or among Sprint and LA Unwired or Texas Unwired in connection therewith as they may be amended or supplemented from time to time.
