Standard Inbound Licenses definition

Standard Inbound Licenses means licenses for non-customized Software that (A) is so licensed solely in executable or object code form pursuant to a non-exclusive, internal use software license, (B) is not incorporated into, or used in the development, manufacturing, hosting, or distribution of, any Company Product (other than word processing, spreadsheet, accounting or similar, general purpose office automation software), (C) is generally available to be licensed by any Person, and (D) was licensed by the Company for less than $5,000 per copy.
Standard Inbound Licenses means licenses for Third-Party Intellectual Property granted to the Company to generally commercially available software (excluding Open Source Materials) that (A) has not been modified or customized for Company, (B) is not incorporated in any Company Products, and (C) is licensed for a fee that does not exceed $10,000 in any calendar year.
Standard Inbound Licenses means Contracts entered into in the ordinary course of business on a non-exclusive basis: (A) for third-party Intellectual Property licensed to the Company or any of the Subsidiaries for commercially available software or services, including Open Source Licenses; (B) between the Company and its contractors, service providers or employers; (C) that are non-disclosure agreements; (D) agreements granting rights to use technology that are granted incidental to the purchase of related hardware products; and (E) containing trademark or feedback licenses, in each case solely that are incidental to the primary purpose of such Contract.

Standard Inbound Licenses means (i) “shrink wrap” and similar generally available standard form of non-negotiated commercial end-user licenses to software that have an enterprise-level acquisition cost of $10,000 or less on a fully paid-up basis; (ii) Open Source Materials; (iii) Standard Non-Disclosure Agreements; and (iv) employment and consulting agreements, in each case of clauses (i) – (iv) excluding any licenses to material Intellectual Property Rights necessary for the functioning of the Company Products.
