Strategic Member definition

Strategic Member means one of the categories of Organisational Membership as set out in Bye-Law 6.9.1
Strategic Member means a Member who (or whose Affiliates) purchases LNG from the Rio Grande Facility or contracts for liquefaction services at the Rio Grande Facility (excluding, for the elimination of doubt, any such Affiliate that is a Liquefaction Owner receiving such liquefaction services under the RG Facility Agreements).

Examples of Strategic Member in a sentence

  • If, by the end of such period, such Officer has become an employee of a Strategic Member again, then he or she may continue as an Officer.

  • Each Officer shall be an employee of a Strategic Member (except that the Assistant Secretary need not be such an employee), provided that in the event that any Officer shall cease to be such an employee (either because such Member has ceased to be a Strategic Member, or because such Officer has ceased to be an employee of such a Member) before the appointed term of such Officer has expired, then he or she may, with the consent of the Consortium, continue to be an Officer for a period of up to sixty days.

  • The OGC IP Team and the sponsors intend to provide regular status reports about the program to the OGC Technical Committee, Planning Committee, and the OGC Strategic Member Advisory Committee.

  • Strategic members are also provided a forum, the Strategic Member Advisory Committee, in which to make recommendations regarding strategic business opportunities to the OGC Board of Directors and the Planning Committee.

  • If, by the end of such period, such Officer has become an employee of a Strategic Member again, then he or she may continue as an Officer.Otherwise, his or her term shall be deemed to have expired as of the end of such 60 day period, or as of the date of any earlier request by the Consortium.

  • Strategic membership provides all the benefits of Principal membership plus voting participation in the Strategic Member Advisory Committee.

  • A Strategic Member shall be entitled to change their Designee with thirty (30) day notice to the Board.

  • Once the maximum number of Directors has been reached, the Strategic Member class will no longer accept new applicants unless the Board elects to increase the number of Directors.

  • Any Director appointed by a Strategic Member may be removed by such Member.

Related to Strategic Member

  • Strategic Partner means (i) a pharmaceutical or biotechnology company with book equity of at least U.S. $200,000,000, (ii) a pharmaceutical or biotechnology company with sales of at least U.S. $150,000,000, or (iii) a publicly traded, or division or subdivision of a publicly traded, pharmaceutical or biotechnology company with market capitalization in excess of U.S. $200,000,000.

  • Public member means an individual who is not, and never

  • Strategic Investor means a Corporation, partnership or other entity engaged in one or more Telecommunications Businesses that has, or 80% or more of the Voting Stock of which is owned by a Person that has, an equity market capitalization, at the time of its initial Investment in the Company or in a Permitted Joint Venture with the Company, in excess of $2 billion.

  • Class A Member means a Member holding one or more Class A Ordinary Shares.

  • Venture means any group of two or more persons associated in fact, whether or not a legal entity.

  • Preferred Member means a Member holding Preferred Units.

  • ☐ - MULTI-MEMBER The “Capital Account” for each Member shall mean the account created and maintained for the Member in accordance with Section 704(b) of the Internal Revenue Code and Treasury Regulation Section 1.704-1(b)(2)(iv).

  • Planned unit development means a subdivision characterized by a unified site design, clustered residential units and/or commercial units, and areas of common open space.

  • Voting Member means a Member holding one or more Voting Shares.

  • Executive Member means any elected member of the authority appointed to the executive of that authority;

  • Committee Member means a member of the Committee.

  • Common interest development means any of the following:

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • Associate Members means the individuals or firms which have agreed to Joint Venture in connection with the Project;

  • Associate Member means a person appointed to perform specific statutory and non-statutory duties which have been delegated by the Trust Board for them to perform and these duties have been recorded in an appropriate Trust Board minute or other suitable record.

  • Managing Member means CEF Equipment Holding, L.L.C., a Delaware limited liability company or any successor Managing Member under the Issuer Limited Liability Company Agreement.

  • A Member means a companion, fellow, member, honorary member, associate or affiliate of the Society

  • Michigan strategic fund means the Michigan strategic fund as described in the Michigan strategic fund act, 1984 PA 270, MCL 125.2001 to 125.2094.

  • Major development means an individual “development,” as well as multiple developments that individually or collectively result in:

  • Panel Member ’ means a member of a panel;

  • Lead Member shall, in the case of a joint venture, mean the member of such joint venture who shall have the authority to bind the contractor and each member of the Joint venture; and shall be deemed to be the Contractor for the purposes of this Agreement; the Lead Member shall itself undertake and perform at least 51% (fifty one per cent) of the total length of the Project Highway;

  • Class A Members means those Members who have purchased Class A Interests.

  • Founder Member means a subscriber to these rules for the purposes of registration;

  • General Member means a party, and that party’s Affiliates, that has executed this Project Charter at the General Member level, unless that General Member has withdrawn or been terminated from the Project, or has changed membership level.

  • General Partner means the Company or its successors as general partner of the Partnership.

  • Committee Members means persons formally appointed by the Board to sit on or to chair specific committees.
