No. 2 of Seller’s Outdoor Lighting Tariff (defined below), and Seller is willing to sell the Street Lights to Buyer.
The total “Estimated Purchase Price” for the Street Lights is Dollars ($ ).
The sale, assignment, conveyance, transfer, and delivery of the Street Lights will be effected by the Bill of Sale.

The closing of the purchase and sale of the Street Lights (the “Closing”) shall take place at the offices of Seller at 10:00 a.m. (Eastern Time) on the tenth Business Day after the conditions to Closing set forth in Sections 13 and 14 (other than actions to be taken or items to be delivered at Closing) have been satisfied or waived by the Party entitled to waive such condition, or on such other date and at such other time and place as Buyer and Seller mutually agree in writing.
Seller has maintained and currently maintains, the operability of the Street Lights in a manner consistent with Seller’s Outdoor Lighting Tariff.
Until Closing, Seller shall continue its regular program of operating and maintaining the Street Lights.
Seller shall bear the risk of loss of and damage to the Street Lights during the period from the Effective Date up to but not including the Closing Date, and Buyer shall bear the risk of loss of and damage to the Street Light from and after the Closing Date.
