Subcontractor Included Software definition

Subcontractor Included Software has the meaning given in Section 1.1 [Definitions] of Schedule 8 [Intellectual Property].
Subcontractor Included Software means any computer software that is Owned by a Subcontractor, is not Subcontractor Embedded Software or Subcontractor Separately Licensed Software, and is delivered, supplied or otherwise provided by the Subcontractor under its Subcontract as or as part of any Deliverable.
Subcontractor Included Software means any computer software that is Owned by a Subcontractor, is not Subcontractor Embedded Software or Subcontractor Separately Licensed Software, and is delivered, supplied or otherwise provided by the Subcontractor under the Agreement, the Subcontract as or as part of any Deliverable. (oo) Subcontractor Personnel means, with respect to any Subcontractor, Persons acting on behalf of that Subcontractor or employed, engaged or retained by that Subcontractor in connection with the exercise of that Subcontractor’s rights or the performance of that Subcontractor’s obligations under the Agreement or the Subcontract, including the Subcontractor’s direct and indirect consultants, contractors and subcontractors and the employees, officers, directors, volunteers and agents of the Subcontractor and the Subcontractor’s direct and indirect consultants, contractors and subcontractors.

  • License to Reverse Engineer Subcontractor Intellectual Property (including Subcontractor Included Software and the Source Materials therefor, but excluding items listed separately below) License to Use for the System License to Modify to the extent Source Materials are provided, not required or released from escrow.

Related to Subcontractor Included Software

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Hosted Software means: (a) Hosted NCR Voyix Software; and (b) Non-NCR Voyix Software provided by a third party as a hosted software application or cloud service and for which Customer purchases a subscription through NCR Voyix pursuant to an Order (“Non-NCR Voyix Hosted Software”).

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Supplier Software software which is proprietary to the Supplier (or an Affiliate of the Supplier) and which is or will be used by the Supplier for the purposes of providing the Services, including the software specified as such in Schedule 5 (Software);

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • Standard Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Standard Software.

  • Owned Software means all computer, software or firmware programs, modules or libraries owned or purported to be owned by the Company or any of its Subsidiaries.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Supplier Background IPR means Intellectual Property Rights owned by the Supplier before the Call Off Commencement Date, for example those subsisting in the Supplier's standard development tools, program components or standard code used in computer programming or in physical or electronic media containing the Supplier's Know-How or generic business methodologies; and/or Intellectual Property Rights created by the Supplier independently of this Call Off Contract,

  • Client Materials means [all works and materials supplied by or on behalf of the Client to the Consultant for incorporation into the Deliverables or for some other use in connection with the Services];

  • Application Software means Software formulated to perform specific business or technical functions and interface with the business or technical users of the System and is identified as such in Appendix4 of the Contract Agreement and such other Software as the parties may agree in writing to be Application Software.

  • Independent Software Vendor or “ISV” means a Person that makes available to Participants and Authorized Traders a system or platform offering smart order routing, front-end trading applications, an aggregation platform or a combination of the foregoing but that does not provide Participants or Authorized Traders with the ability to effect transactions other than through the Trading System.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Public Software means any Software that contains, or is derived in any manner (in whole or in part) from, any software that is distributed as free software, open source software (e.g., Linux) or similar licensing or distribution models, including, without limitation, software licensed or distributed under any of the following licenses or distribution models, or licenses or distribution models similar to any of the following: (A) GNU’s General Public License (GPL) or Lesser/Library GPL (LGPL), (B) the Artistic License (e.g., PERL), (C) the Mozilla Public License, (D) the Netscape Public License, (E) the Sun Community Source License (SCSL), (F) the Sun Industry Standards License (SISL), (G) the BSD License, and (H) the Apache License.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Font Software means the software provided by Branding with Type which, when used on an appropriate Device or Devices, generates typeface and typographic designs and ornaments. Font Software shall include all bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades, updates, related files, permitted copies, permitted conversions, and related documentation.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
