Subordinated Lien Debt Documents definition

Subordinated Lien Debt Documents means, collectively, any credit agreement, indenture or other agreement governing a Series of Subordinated Lien Debt, any document granting a security interest in favor of such Subordinated Lien Debt and any intercreditor or joinder agreement among holders of Subordinated Lien Obligations.
Subordinated Lien Debt Documents means, collectively, the Second Priority Senior Secured Notes Documents and any documents evidencing or governing any Future Subordinated Lien Indebtedness.
Subordinated Lien Debt Documents means, collectively, the Second Priority Secured Subordinated Notes Documents, the Series II Second Priority Secured Subordinated Notes Documents and any documents evidencing or governing any Future Subordinated Lien Indebtedness.

Examples of Subordinated Lien Debt Documents in a sentence

  • Second Priority Collateral Agent and Trustee shall be liable to account only for such rents, issues and profits as they may actually receive, whether from the receiver or pursuant to other provisions of the applicable Subordinated Lien Debt Documents.

  • The Grantor agrees faithfully to perform and observe all of its obligations under the terms of the Subordinated Lien Debt Documents and the Intercreditor Agreement.

  • The Grantor shall make all payments and perform all obligations under the Intercreditor Agreement, the Second Priority Secured Subordinated Notes, this Deed of Trust and all other Subordinated Lien Debt Documents in accordance with the terms of such agreements.

  • The Grantor agrees that the Subordinated Lien Debt Documents are incorporated herein by reference and made a part hereof.

  • This Deed of Trust is also given as security for the performance of all covenants and agreements contained in the Subordinated Lien Debt Documents.

  • Except for Liens permitted under the Subordinated Lien Debt Documents, and Liens for real estate taxes and assessments prior to delinquency, the Grantor shall not create or permit any encumbrance on the Real Property regardless of whether such encumbrance is inferior to this Deed of Trust.

  • The Grantor will maintain or cause to be maintained insurance on the Property as required by the Subordinated Lien Debt Documents.

  • Grantor shall have the right to prepay such amounts in whole or in part at any time in accordance with the provisions of the Subordinated Lien Debt Documents.

Related to Subordinated Lien Debt Documents

  • Subordinated Debt Documents means any documents evidencing and/or securing Debt governed by a Subordination Agreement, all of which documents must be in form and substance acceptable to Agent in its sole discretion. As of the Closing Date, there are no Subordinated Debt Documents.

  • Senior Debt Documents means (a) the Credit Agreement Loan Documents and (b) any Additional Senior Debt Documents.

  • Junior Debt Documents means, collectively, any loan agreements, indentures, note purchase agreements, promissory notes, guarantees and other instruments and agreements evidencing the terms of any Junior Indebtedness.

  • Secured Debt Documents means the Parity Lien Documents and the Priority Lien Documents.

  • Debt Documents means, collectively, the Credit Agreement, the Designated Indebtedness Documents, any Hedging Agreement evidencing or relating to any Hedging Agreement Obligations and the Security Documents.

  • Second Lien Debt means the Indebtedness and guarantees thereof now or hereafter incurred pursuant to the Second Lien Loan Documents.

  • Priority Lien Debt has the meaning assigned to such term in the Intercreditor Agreement.

  • Second Priority Debt Documents means the Initial Second Priority Debt Documents and, with respect to any series, issue or class of Second Priority Debt, the promissory notes, indentures, Collateral Documents or other operative agreements evidencing or governing such Indebtedness, including the Second Priority Collateral Documents.

  • First Lien Debt means the Initial First Lien Debt and any Additional First Lien Debt.

  • Additional Senior Debt Documents means, with respect to any series, issue or class of Additional Senior Debt, the promissory notes, indentures, Collateral Documents or other operative agreements evidencing or governing such Indebtedness, including the Senior Collateral Documents.

  • Secured Debt Agreements means and include this Agreement, the other Credit Documents and the Interest Rate Protection Agreements and Other Hedging Agreements.

  • Subordinated Loan Documents means the Subordinated Credit Agreement, the promissory notes executed and delivered pursuant to the Subordinated Credit Agreement, and each other agreement, instrument, or document executed by the Borrower or any of its Subsidiaries or any of their Responsible Officers in connection with the Subordinated Credit Agreement.

  • Subordinated Indebtedness Documents means any document, agreement or instrument evidencing any Subordinated Indebtedness or entered into in connection with any Subordinated Indebtedness.

  • Junior Lien Debt means Indebtedness incurred by a Covenant Entity that is secured by a Lien that is junior to the Lien on the Collateral securing the Obligations.

  • Second Lien Indebtedness means the Indebtedness of the Loan Parties owing to the Second Lien Agent and the Second Lien Lenders under the Second Lien Credit Agreement, which Indebtedness is on terms and conditions reasonably acceptable to the Collateral Agent.

  • Junior Lien Indebtedness means any Indebtedness (other than any ABL Facility) that is secured by a junior Lien to the Lien securing the Secured Obligations and that was permitted to be incurred and so secured hereunder.

  • Senior Lien Obligations means all revenue bonds and other obligations of the RECIPIENT outstanding on the date of execution of this loan agreement (or subsequently issued on a parity therewith, including refunding obligations) or issued after the date of execution of this loan agreement having a claim or lien on the Gross Revenue of the Utility prior and superior to the claim or lien of the loan, subject only to Maintenance and Operation Expense.

  • First Lien Indebtedness means the Indebtedness under the First Lien Indebtedness Documents.

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • Second Lien Loan Documents means the “Loan Documents” as defined in the Second Lien Credit Agreement.

  • Second Lien Notes Documents means the Second Lien Notes Indenture, the Second Lien Notes and all other agreements, instruments and other documents pursuant to which the Second Lien Notes have been or will be issued or otherwise setting forth the terms of the Second Lien Notes.

  • Second Lien Obligations means the “Obligations” as defined in the Second Lien Credit Agreement.

  • Parity Lien Obligations means Parity Lien Debt and all other Obligations in respect thereof.

  • Subordinated Obligations has the meaning specified in Section 7.05.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • Second Lien Security Documents means all “Security Documents” as defined in the Second Lien Credit Agreement, and all other security agreements, mortgages, deeds of trust and other security documents executed and delivered in connection with any Second Lien Credit Agreement, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time.
