Subscriber Affiliate definition

Subscriber Affiliate means an entity that directly or indirectly controls, is controlled by, or is under common control with Subscriber, in each case through majority voting power;

Examples of Subscriber Affiliate in a sentence

  • As a condition of transfer, any such transferee shall agree in writing to be bound by the terms of this Subscription Agreement such transferee and each Subscriber Affiliate transferee and each lender transferee and their subsequent transferees shall have the rights and obligations of the Subscriber under this Subscription Agreement.

  • While the Neo4j entity contracting with Subscriber or the Subscriber Affiliate remains fully liable and responsible for all Neo4j obligations under this Agreement, the parties acknowledge that certain obligations under this Agreement may be fulfilled by other Neo4j’s Affiliates, including, but not limited to, Neo4j Inc.

  • In addition, nothing in this Agreement shall preclude the MSRB from seeking redress for any breach of this Agreement by any Subscriber Affiliate directly against such Affiliate.

  • Purchaser means the organization purchasing the goods.

  • The Purchaser means the organization purchasing the Goods, as named in SCC.

  • First purchaser means the first buyer of a manufactured item that contains ferrous or nonferrous metal in a retail or business-to-business transaction. A person that purchases scrap metal, or other property described in section 10, in violation of this act, or an automotive recycler, pawnshop, scrap metal recycler, or scrap processor is not considered a first purchaser.

  • Subscribers means at any time either an individual (other than a trust) or an individual (other than a trust) and the spouse or common-law partner of such individual who is/are named as such in the Application, or the Public Primary Caregiver of a Beneficiary, and in particular:

  • Buyer has the meaning set forth in the preamble.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Designated Affiliate means the affiliates of the Corporation designated by the Committee for purposes of the Plan from time to time;

  • Vendor or “Vendors” means any entity submitting a bid in response to the Solicitation, the entity that has been selected as the lowest responsible bidder, or the entity that has been awarded the Contract as context requires.

  • Seller has the meaning set forth in the Preamble.

  • Subscriber Management System means a system or device which stores the subscriber records and details with respect to name, address and other information regarding the hardware being utilized by the subscriber, channels or bouquets of channels subscribed by the subscriber, price of such channels or bouquets of channels as defined in the system, the activation or deactivation dates and time for any channel or bouquets of channels, a log of all actions performed on a subscriber’s record, invoices raised on each subscriber and the amounts paid or discount allowed to the subscriber for each billing period, and which complies with the requirements as set out under Annexure D of this Agreement;

  • Purchasers is defined in Section 12.3.1.

  • Company Entity means each of the Company and its Subsidiaries.

  • U.S. Purchaser is (a) any U.S. Person that purchased Units, (b) any person that purchased Units on behalf of any U.S. Person or any person in the United States, (c) any purchaser of Units that received an offer of the Units while in the United States, (d) any person that was in the United States at the time the purchaser’s buy order was made or the subscription agreement for Units was executed or delivered;

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • DGS&D means Directorate General of Supplies and Disposals

  • Controlled Affiliates means with respect to any Person, any other Person that directly or indirectly through one or more intermediaries is Controlled by such Person.

  • Subject Company shall have the meaning set forth in Section 6.10(a).
