Subsidiary Guaranty Supplement definition

Subsidiary Guaranty Supplement means each supplement substantially in the form of Annex I to the Subsidiary Guaranty Agreement executed and delivered by a Subsidiary of the Borrower pursuant to Section 5.12.

Subsidiary Guaranty Supplement is defined in Section 9.9(a)(1).

• Any provision of this Subsidiary Guaranty Supplement held to be invalid, illegal or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such invalidity, illegality or unenforceability without affecting the validity, legality and enforceability in such jurisdiction of the remaining provisions hereof and of the Guaranty; and the invalidity of a particular provision in a particular jurisdiction shall not invalidate such provision in any other jurisdiction.

Subsidiary Guaranty Supplement means any Subsidiary Guaranty Supplement substantially in the form of Annex I to the Subsidiary Guaranty Agreement, made by a Subsidiary of PRGX in favor of the Administrative Agent for the benefit of the Credit Providers.
