A "SIGNIFICANT SUBSIDIARY" of any Person means any subsidiary or Person that constitutes a significant subsidiary of such Person within the meaning of Rule 1-02(w) of Regulation S-X promulgated pursuant to the Securities Exchange Act of 1934, as amended (the "EXCHANGE ACT").
