Upon the occurrence of any such Fundamental Transaction, the Successor Entity shall succeed to, and be substituted for (so that from and after the date of such Fundamental Transaction, the provisions of this Warrant referring to the “Company” shall refer instead to the Successor Entity), and may exercise every right and power of the Company and shall assume all of the obligations of the Company under this Warrant with the same effect as if such Successor Entity had been named as the Company herein.

The Escrow Bank shall have no obligation to make any payment or disbursement of any type or incur any financial liability in the performance of its duties under this Escrow Deposit and Trust Agreement unless the Successor Agency shall have deposited sufficient funds with the Escrow Bank.
Any notice to or demand upon the Successor Agency and the Authority, respectively, shall be deemed to have been sufficiently given or served for all purposes by being mailed by first class mail, and deposited, postage prepaid, in a post office letter box, addressed to such party as provided in the 1999 Authority Indenture (or such other address as may have been filed in writing by the Successor Agency or the Authority with the Escrow Bank).
The Escrow Fund has been established and is being maintained pursuant to that certain Escrow Agreement, dated as of 1, 2017, by and among the Authority, the Successor Agency to the Contra Costa County Redevelopment Agency and U.S. Bank National Association, as escrow bank.
