Successor Servicing Agreement definition

Successor Servicing Agreement shall have the meaning attributed to such term in the Servicing Agreement.

Successor Servicing Agreement means any successor servicing agreement entered into by the Borrower, the Administrative Agent, the Collateral Agent and the Successor Servicer named therein, in form and substance acceptable to the Administrative Agent.

Successor Servicing Agreement means any agreement between the Buyer and any Person, other than the Company or its Affiliate, which contains provisions concerning the servicing of the Purchased Receivables substantially similar to the provisions contained herein, including Sections 5.03, 5.04, 5.06, 6.01, 6.02, 6.04, 6.06 and 6.07 hereof, pursuant to which such Person performs servicing functions in respect of the Purchased Receivables, and all agreements, instruments and documents attached thereto or delivered in connection therewith, as any of the same may from time to time be amended, supplemented or otherwise modified and in effect.

Examples of Successor Servicing Agreement in a sentence

Backup Servicer is willing to perform the backup servicing and verification duties specified herein and to assume the role of Successor Servicer under the terms of the Successor Servicing Agreement with respect to the Serviced Assets pursuant to the conditions described therein and herein.
The Borrower shall deliver, or cause the Company to deliver, to the Backup Servicer within ten (10) Business Days of the Closing Date the documents and other material necessary to allow the Backup Servicer to complete the tasks contemplated in Schedule 1 (Set-Up and Data Mapping) of the Backup and Successor Servicing Agreement in a manner acceptable to the Administrative Agent.

The Servicer has delivered the documents and other material contemplated in Schedule 1 (Document Certification and Archival) of the Backup and Successor Servicing Agreement in respect of Receivables to be purchased by the Borrower with the proceeds of such Loan.
