• The Selling Shareholders shall not, without prior intimation to the BRLMs, make any offer relating to the Offered Shares or otherwise issue or distribute any Supplemental Offer Materials, except as permitted under Applicable Law.

• The Supplemental Offer Materials are prepared in compliance with Applicable Law and do not conflict or will not conflict with the information contained in any Offer Document.

• The Company and Promoter Selling Shareholders further confirm that they shall not engage in publicity activities (including release by the Company of any Supplemental Offer Materials) that are not permitted under Applicable Law to the extent applicable to the Offer, in any jurisdiction, including SEBI ICDR Regulations.

• Teachers with extra-duty assignments will be compensated according to the attached Appendix E: Extra-Duty Compensation Schedule.

• The Company and the Selling Shareholders, have further severally and not jointly confirm that they have authorized each of the Underwriters to circulate the Offer Documents and Supplemental Offer Materials and any amendments, corrigenda, supplement and addendum thereto and communicate the pricing information in such manner as is permitted under the Other Agreements and Applicable Law, to prospective investors.

• Each of the Company and the Selling Shareholders confirms, severally and not jointly, that it has authorized and hereby authorizes each of the Underwriters to distribute copies of the Offer Documents, Supplemental Offer Materials and any addendum thereto and communicate the Pricing Information in such manner as is permitted under this Agreement, the Transaction Agreements, Applicable Law and the selling restrictions applicable in the relevant jurisdiction as per this Agreement.

• The Company confirms that it has prepared and authorized, and wherever the context requires, shall prepare and authorize, the Offer Documents and Supplemental Offer Materials for use in connection with the Offer.
