All references in this Agreement to financial statements and other information which is “described,” “contained,” “included” or “stated” in the Canadian Base Prospectus or the Canadian Prospectus (or other references of like import) shall be deemed to mean and include all such financial statements and other information which is incorporated by reference in or otherwise deemed by Canadian Securities Laws to be a part of or included in the Canadian Prospectus. The Company confirms its agreement with the Agents as follows:

  • Applicable Timetable means, in respect of any day, that part of the Working Timetable in respect of that day which is required to be drawn up in accordance with Condition D2.1.1 of the Network Code as at 22:00 hours on the day prior to that day; "Bi-annual Timetable" means either of the following:

  • Annex means an annex to this Agreement.

  • Supplement(s) means any document which may add, delete, amend or replace the terms and benefits of this Policy. Supplement(s) shall include but is not limited to endorsement, rider, annex, schedule or table attached and issued with this Policy.

  • Annexures means any of the annexures, appendices, supplements or documents annexed to this Agreement and as amended from time to time;

  • the first supplementary agreement means the agreement of which a copy is set out in the Second Schedule;

  • the Second Supplementary Agreement means the Second Supplementary Agreement, a copy of which is set out in Schedule 3;

  • Summary Plan Description means this plan document and summary plan description.

  • Reference Schedule means the reference schedule in Part A of this Invitation

  • Supplementary Material means, collectively, any amendment to or amendment and restatement of the Preliminary Prospectus and/or the Final Prospectus, and any further amendment, amendment and restatement or supplemental prospectus thereto or ancillary materials that may be filed by or on behalf of the Company under Canadian Securities Laws relating to the Distribution of the Offered Securities thereunder;

  • Supplementary Card The Supplementary Card is the Card issued to a Supplementary Cardmember.

  • Preliminary Prospectuses means, collectively, the Canadian Preliminary Prospectus and the U.S. Preliminary Prospectus;

  • Implementation Schedule means the Implementation Schedule in Section VII of the tendering documents.

  • Appendices has the meaning ascribed to it in the recitals to the Agreement.

  • Supplementary Conditions means the part of the Contract that amends or supplements the General Conditions;

  • Time of Sale Disclosure Package means the Prospectus most recently filed with the Commission before the time of this Agreement, including any preliminary prospectus supplement deemed to be a part thereof, each Issuer Free Writing Prospectus, and the description of the transaction provided by the Underwriters included on Schedule II.

  • Preliminary Final Prospectus means any preliminary prospectus supplement to the Basic Prospectus which describes the Securities and the offering thereof and is used prior to filing of the Final Prospectus, together with the Basic Prospectus.

  • Day-Ahead Schedule has the meaning set forth in the CAISO Tariff.

  • mobility supplement means a supplement to which paragraph 9 of Schedule 4 refers;

  • Shift Schedule means a written statement setting forth the days and hours upon which the employees are required to work.

  • FBF Definitions means the definitions set out in the June 2013 FBF Master Agreement relating to transactions on forward financial instruments as supplemented by the Technical Schedules (Additifs Techniques) as published by the Fédération Bancaire Française (together the FBF Master Agreement) as may be supplemented or amended as at the Issue Date.

  • Schedule B herein mean Schedule B attached hereto as constituted on the Effective Date, and thereafter as it may be amended from time to time (deemed or in writing) pursuant to Section 16 or 19(l).

  • Exhibits means the several exhibits referred to and identified in this Agreement.
