  • Supplier shall cause its employees and Supplier Agents to comply, at no cost to Company, with all applicable Laws related to the obligations assumed by Supplier under this Agreement, including those related to data privacy, data security, and the transmission of technical or personal data.

  • Supplier has implemented and will maintain and require its employees and Supplier Agents to comply with standards that are no less stringent than those that are set forth in Company’s Corporate Code of Conduct in all aspects relevant to Supplier’s performance under this Agreement (“Supplier Policies”).

  • Prior to entering into agreements with Supplier Agents, Supplier shall use commercially reasonable efforts to minimize deferral fees, penalties or charges to be paid by Supplier.

Related to Supplier Agents

  • Contractor Agents means Contractor's representatives, employees, officers, Subcontractors, as well as their employees, contractors, officers, and agents.

  • Supplier means the successful bidder who is awarded the contract to maintain and administer the required and specified service(s) to the State.

  • Supplier Representative means the representative appointed by the Supplier from time to time in relation to this Framework Agreement;

  • End Users means a Third Party residence or business that subscribes to Telecommunications Services provided by any of the Parties at retail. As used herein, the term “End User(s)” does not include any of the Parties to this Agreement with respect to any item or service obtained under this Agreement.

  • Products and Services means the products and/or services to be sold by Vendor hereunder as identified and described on Attachment A hereto and incorporated herein, as may be updated from time to time by Vendor to reflect products and/or services offered by Vendor generally to its customers.

  • The Supplier means the individual contractor, manufacturer distributor, or firm supplying/manufacturing the Goods and Services under this Contract and named in the SCC.

  • Wireless services provider means a person who provides wireless services.

  • Customer Group means Customer and any of its Affiliates;

  • IBM means International Business Machines Corporation.

  • Authorized Users means an individual or individuals with an authorized business requirement to access DSHS Confidential Information.

  • Siemens means Siemens AG (Germany) and its Affiliates.

  • Supplier Group means the Supplier and its Affiliates from time to time and "Supplier Group Company" means any company or corporation within the Supplier Group;

  • New Service Customers means all customers that submit an Interconnection Request, a Completed Application, or an Upgrade Request that is pending in the New Services Queue. New Service Request:

  • Hub Provider means an entity that (i) provides Common Channel Signaling (SS7) connectivity between the networks of service providers that are not directly connected to each other; or (ii) provides third party database services such as LIDB. The SS7 messages received by Hub Providers are accepted or rejected by the Hub Provider depending on whether a contractual arrangement exists between the Hub Provider and the message originator (sender) and whether the message originator has contracted for the type of SS7 messages being submitted for transmission to the Hub Provider.

  • Manufacturer means the person or body who is responsible to the approval authority for all aspects of the type approval process and for ensuring conformity of production. It is not essential that the person or body is directly involved in all stage of the construction of the vehicle, system, component or separate technical unit which is the subject of the approval process.
