Supplier Intellectual Property definition

Supplier Intellectual Property means all tangible or intangible items or things, including the Intellectual Property Rights therein, created or developed by Supplier and identified in writing as such (a) prior to providing any services or Work Product to Customer and prior to receiving any documents, materials, information or funding from or on behalf of a Customer relating to the services or Work Product, or (b) after the effective date of the Contract if such tangible or intangible items or things were independently developed by Supplier outside Supplier’s provision of services or Work Product for Customer under the Contract and were not created, prepared, developed, invented or conceived by any Customer personnel who then became personnel to Supplier or any of its affiliates or subcontractors, where, although creation or reduction-to-practice is completed while the person is affiliated with Supplier or its personnel, any portion of same was created, invented or conceived by such person while affiliated with Customer.
Supplier Intellectual Property means Intellectual Property that is owned by or licensed to (with the right to grant sublicenses) Supplier and exists on the Effective Date or is thereafter developed by or licensed to Supplier independent of Supplier’s performance of its obligations to Medtronic under the Agreement. For clarity, Supplier Intellectual Property does not include Developed Intellectual Property.
Supplier Intellectual Property means all Intellectual Property Rights in and to any discoveries, inventions, processes or techniques that are owned by or licensed to the Supplier as at the date of the Contract, together with any Intellectual Property Rights in any improvements, adaptations, inventions, processes or techniques developed by the Supplier after the date of the Contract, other than the Company Improvements.

  • Except for any Supplier Intellectual Property, all work performed by the Supplier of developing, modifying or customizing software and any related supporting documentation shall be considered as Work for Hire (as defined under the U.S. copyright laws) and, as such, shall be owned by and for the benefit of State.

  • With respect to Supplier Intellectual Property, the Supplier grants the State, for no additional consideration, a perpetual, irrevocable, royalty-free license, solely for the internal business use of the State, to use, copy, modify, display, perform, transmit and prepare derivative works of Supplier Intellectual Property embodied in or delivered to the State in conjunction with the products.

  • The Supplier further represents and warrants that it has obtained assurances with respect to any Supplier Intellectual Property and Third-Party Intellectual Property that any rights of integrity or any other moral rights associated therewith have been waived.

  • In the event that it should be determined that any portion of such software or related supporting documentation does not qualify as “Work for Hire”, Supplier hereby irrevocably grants to the State, for no additional consideration, a non-exclusive, irrevocable, royalty-free license to use, copy, modify, display, perform, transmit and prepare derivative works of any such software and any Supplier Intellectual Property embodied in or delivered to the State in conjunction with the products.

  • Supplier shall not assert any Supplier Intellectual Property against Buyer, or any of their customers, suppliers, or affiliates, with respect to Buyer’s IP Rights, (defined below) in any Goods, or in the repair or refurbishment of any Goods.


More Definitions of Supplier Intellectual Property

Supplier Intellectual Property means all tangible or intangible items or things, including the Intellectual Property Rights therein, created or developed by Supplier, whether prior to providing any services or Work Product to Customer and prior to receiving any documents, materials, information or funding from or on behalf of a Customer relating to the services or Work Product, or after the effective date of the Contract.
Supplier Intellectual Property means Intellectual Property which is owned by the Supplier, and/or any Supplier Affiliate; Supplier Personnel means all employees, consultants, and other representatives of the Supplier and any Sub-Contractors who are involved, or proposed to be involved, in the provision of the Services; Supplier Systems means all Software, hardware, plant, machinery, media, cabling and other equipment which is used by the Supplier, any Supplier Affiliate or their Sub-Contractors in connection with the Services excluding the HSBC Systems;
Supplier Intellectual Property means Intellectual Property that is owned by or licensed to (with the right to grant sublicenses) Supplier and exists on the Effective Date or is thereafter developed by or licensed to Supplier independent of its performance of its obligations Medtronic.
Supplier Intellectual Property means all patents, copyrights, trade secrets, know-how, trademarks, processes, formulas, Inventions and other Intellectual Property Rights owned by Supplier anywhere in the world.
Supplier Intellectual Property means any intellectual Property owned by the Supplier prior to its performance under the Contract or created by the Supplier during the Term of the Contract independently of the performance of its obligations under the Contract;
Supplier Intellectual Property means: (i) all Intellectual Property owned by Supplier prior to and as of the Effective Date; or (ii) all Intellectual Property developed or acquired by Supplier after the Effective Date independent of the performance of its obligations under this Agreement, provided that such Intellectual Property does not utilize nor is based on any Purchaser Intellectual Property or Product Developments.
Supplier Intellectual Property means the Trademarks, Supplier Confidential Information, together with all rights of any kind therein, including without limitation under copyright and/or trademark law.
