Swingline Account definition

Swingline Account as defined in Section 2.6.
Swingline Account means the account of the Company maintained with the Swingline Bank at its Lending Office which the Company and the Swingline Lender shall designate as the Swingline Account for purposes of this Agreement.

  • The accounts and records of each Swingline Lender shall constitute, in the absence of manifest error, prima facie evidence of outstanding Swingline Loans and Swingline Account balances from time to time, the Borrowing Dates such Swingline Loans were made and all amounts that the Canadian Borrower or Parent Borrower has paid from time to time on account of such Obligations.

  • Each Swingline Loan shall be credited to the Swingline Account as of the date made.

  • As of the Closing and after the Intercompany Account Adjustment Amount is determined pursuant to Section 2.3(a) hereof, no further transfers between the Feed Intercompany Cash Sweep Account and the Parent Swingline Account will be permitted, and the Feed Intercompany Cash Sweep Account will be closed.

  • Subject to the terms and conditions set out herein, the Borrower shall be entitled to obtain Swingline Loans by way of overdraft on the Swingline Account, and at any given time the US $ Amount of the outstanding principal amount of all Swingline Loans shall be equal to the amount by which the Swingline Account is overdrawn.

  • Any net outflow of cash from the Feed Intercompany Cash Sweep Account to the Parent Swingline Account will be expressed as a positive number, and any net inflow of cash to the Feed Intercompany Cash Sweep Account from the Parent Swingline Account will be expressed as a negative number (such amount, whether expressed as a positive or negative number, the “Preliminary Intercompany Account Adjustment Amount”).

  • The accounts and records of each Swingline Lender shall constitute, in the absence of manifest error, prima facie evidence of outstanding Swingline Loans and Swingline Account balances from time to time, the Borrowing Dates such Swingline Loans were made and all amounts that the applicable Canadian Borrower or Parent Borrower has paid from time to time on account of such Obligations.

  • If, at the end of any Business Day, the balance in any Swingline Account is a debit, then to the extent there is sufficient availability under the Swingline Commitment and subject to the conditions in Section 2.5(a), such debit position shall be deemed to be recorded as a Swingline Loan by way of US Base Rate Loan or Canadian Prime Rate Loan, as applicable.

  • The accounts and records of each Swingline Lender shall constitute, in the absence of manifest error, prima facie evidence of outstanding Swingline Loans and Swingline Account balances from time to time, the Borrowing Dates such Swingline Loans were made and all amounts that the Canadian Borrower has paid from time to time on account of such Obligations.

  • If, at the end of any Business Day, the balance in any Swingline Account is a debit, then to the extent there is sufficient availability under the Swingline Commitment and subject to the conditions in Section 2.8(a), such debit position shall be deemed to be recorded as a Swingline Loan by way of US Base Rate Loan or Canadian Prime Rate Loan, as applicable, and shall be deemed to have been designated as a Short Term Borrowing.

  • Letter of Credit Cash Collateral Account means a blocked deposit account at Bank of America with respect to which Borrower hereby grants a security interest in such account to Administrative Agent for and on behalf of Lenders as security for Letter of Credit Usage and with respect to which Borrower agrees to execute and deliver from time to time such documentation as Administrative Agent may reasonably request to further assure and confirm such security interest.

  • Swingline Advance means an advance made by the Swingline Lender, if any, to the Borrower pursuant to Section 2.

  • Swingline Participation Amount as defined in Section 2.7(c).

  • Swingline Facility means the swingline facility established pursuant to Section 2.2.

  • Lender’s Account means the account identified in Schedule L-1.

  • U.S. Swingline Loan means any swingline loan denominated in Dollars made by the applicable Swingline Lender to a US Borrower pursuant to Section 2.2, and all such swingline loans collectively as the context requires.

  • Swingline Bank means JPMCB, in its capacity as lender of Swingline Advances hereunder.

  • Letter of Credit Account means the account established by the Borrower under the sole and exclusive control of the Administrative Agent maintained at the office of the Administrative Agent at 200 Xxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx 00000 designated as the “Delphi Letter of Credit Account” that shall be used solely for the purposes set forth herein.

  • Canadian Swingline Loan means a Swingline Loan made to the Canadian Borrower.

  • Facility LC Collateral Account is defined in Section 2.20.11.

  • Refunded Swingline Loans as defined in Section 2.7(b).

  • Swingline Loan Note a promissory note in the form of Exhibit H-2, as it may be amended, supplemented or otherwise modified from time to time.

  • Swingline The facility pursuant to which the SwingLine Lender may advance Revolving Credit Loans aggregating up to the SwingLine Loan Ceiling.

  • L/C Cash Collateral Account means an interest bearing cash collateral account to be established and maintained by the Agent, over which the Agent shall have sole dominion and control, upon terms as may be satisfactory to the Agent.

  • Cash Collateral Account means a blocked account at a commercial bank specified by the Administrative Agent in the name of the Administrative Agent and under the sole dominion and control of the Administrative Agent, and otherwise established in a manner reasonably satisfactory to the Administrative Agent.

  • Credit Account is modified to read “Grant Account”.

  • Swingline Loans as defined in Section 2.6.

  • Swingline Loan means a Loan made pursuant to Section 2.04.

  • Multicurrency LC Exposure means, at any time, the sum of (a) the aggregate undrawn amount of all outstanding Multicurrency Letters of Credit at such time plus (b) the aggregate amount of all LC Disbursements in respect of such Letters of Credit that have not yet been reimbursed by or on behalf of the Borrower at such time. The Multicurrency LC Exposure of any Lender at any time shall be its Applicable Multicurrency Percentage of the total Multicurrency LC Exposure at such time.

  • Revolving Advances means Advances made other than Letters of Credit.

  • Revolving Facility Credit Exposure means, at any time, the sum of (a) the aggregate principal amount of the Revolving Facility Loans outstanding at such time, (b) the Swingline Exposure at such time and (c) any Revolving L/C Exposure at such time. The Revolving Facility Credit Exposure of any Lender at any time shall be the product of (x) such Lender’s Revolving Facility Percentage and (y) the aggregate Revolving Facility Credit Exposure of all Lenders, collectively, at such time.

  • Revolving Loan Account has the meaning described in Section 2.1.9 (Revolving Loan Account).

  • LC Collateral Account has the meaning assigned to such term in Section 2.06(j).

  • Swingline Lender means JPMorgan Chase Bank, N.A., in its capacity as lender of Swingline Loans hereunder.

  • Swing Line Loans as defined in Section 2.6.

  • Canadian Swingline Lender means JPMorgan Chase Bank, N.A., Toronto Branch, in its capacity as lender of Canadian Swingline Loans hereunder.
