Swingline Borrower definition

Swingline Borrower means Viacom and any Subsidiary Borrower designated as a “Swingline Borrower” by Viacom in a written notice to the Administrative Agent; provided, that, unless otherwise agreed by the Administrative Agent, no more than one Subsidiary Borrower may be a Swingline Borrower at any one time. Only a Subsidiary Borrower which is a U.S. Person may be a Swingline Borrower.

Swingline Borrower means and include each Domestic Swingline Borrower and each Foreign Swingline Borrower.

Swingline Borrower means CBS and any Subsidiary Borrower designated as a “Swingline Borrower” by CBS in a written notice to the Administrative Agent; provided, that, unless otherwise agreed by the Administrative Agent, no more than one Subsidiary Borrower may be a Swingline Borrower at any one time. Only a Subsidiary Borrower which is a U.S. Person may be a Swingline Borrower.

Examples of Swingline Borrower in a sentence

• The Administrative Agent shall promptly notify the Swingline Lenders upon receipt of any designation of a Subsidiary Borrower as a Swingline Borrower.

• Such notice shall be delivered on a Business Day, shall be irrevocable (subject, in the case of Quoted Swingline Loans, to receipt by the relevant Swingline Borrower of Quoted Swingline Rates acceptable to it) and shall refer to this Agreement and shall specify the requested date (which shall be a Business Day) and amount of such Swingline Loan.

• The Administrative Agent shall promptly advise the Swingline Lenders of any notice received from any Swingline Borrower pursuant to this paragraph (b).

• In the event that a Swingline Borrower accepts a Quoted Swingline Rate in respect of a proposed Quoted Swingline Loan, it shall notify the Administrative Agent (which shall in turn notify the relevant Swingline Lender) of such acceptance no later than 2:30 p.m., New York City time, on the relevant borrowing date.

• Each notice of prepayment under this paragraph (h) shall specify the prepayment date and the principal amount of each Swingline Loan (or portion thereof) to be prepaid, shall be irrevocable and shall commit such Swingline Borrower to prepay such Swingline Loan (or portion thereof) in the amount stated therein on the date stated therein.

Swingline Borrower means the Company.

Swingline Borrower means Infinity and any Subsidiary Borrower designated as a "Swingline Borrower" by Infinity in a written notice to the Administrative Agent; provided, that, unless otherwise agreed by the Administrative Agent, no more than one Subsidiary Borrower may be a Swingline Borrower at any one time.

Swingline Borrower means any Borrower to which Swingline Loans are made.

Swingline Borrower means (a) the Company, (b) the Initial Dutch Borrower and (c) any other Borrower requested by the Company and approved in writing by the Swingline Lender and the Administrative Agent in their discretion.

Swingline Borrower has the meaning assigned to such term in Section 2.05(b).

Swingline Borrower means a French Franc Swingline Borrower or a Sterling Swingline Borrower, and "Swingline Borrowers" refers to all of them.

Swingline Borrower means the Company, Signet Treasury, Sterling Jewelers or any Additional Borrower.
