TA Shares definition

TA Shares means any capital stock, warrants, options or other rights which constitute Stockholder Shares hereunder and which were initially issued to any TA Investor. References in this Agreement to "a majority of the TA Shares" shall be deemed to be references to a majority of the TA Shares that are Common Stockholder Shares, calculated on a fully-diluted basis.
TA Shares has the meaning set forth in the Shareholder Agreement.

  • If the Approved Sale is structured as a (i) merger or consolidation, each holder of Stockholder Shares shall waive any dissenters' rights, appraisal rights or similar rights in connection with such merger or consolidation or (ii) sale of stock, each holder of Stockholder Shares shall agree to sell all of his Stockholder Shares and rights to acquire Stockholder Shares on the terms and conditions approved by the Board and the holders of a majority of the TA Shares.

  • Upon filing and approval of an additional listing application with the NYSE Amex exchange relating to the TA Shares, the TA Shares will be tradable on the NYSE Amex exchange, subject to the restrictions as set forth in the Securities Act and the rules and regulations promulgated thereunder.

  • Upon payment for and delivery of the TA Shares and the Advent Shares in accordance with the Underwriting Agreement, the Underwriters will acquire all of the rights of TA in the TA Shares and of Advent VII and Advent III in the Advent Shares and will also acquire their interest in such shares free of any adverse claim.

  • The shares of Class A Stock issuable upon exercise of the Class T Warrant (i.e., if Buyer or a Permitted Holder (as defined in the Class T Warrant) elects to receive shares of Class A Stock upon exercise of the Class T Warrant or if a party other than Buyer or a Permitted Holder exercises the Class T Warrant) are collectively referred to as the "TA Shares".

  • In the event that the Board and the holders of a majority of the Common Stockholder Shares (which majority must include the holders of a majority of the GTCR Shares and the holders of a majority of the TA Shares) approve a Public Offering, the holders of Stockholder Shares (in their capacity as such) shall take all necessary or desirable actions in connection with the consummation of the Public Offering.
