TARC Entities means TARC and each of its Subsidiaries.

Examples of TARC Entities in a sentence

  • Neither the TransTexas Entities nor the TARC Entities shall directly or indirectly engage to any substantial extent in any line or lines of business activity other than a Related TransTexas Business or a Related TARC Business respectively and, in each case, such other business activities as are reasonably related or incidental thereto.

  • The Company shall not, and shall not permit any of its Subsidiaries to, directly or indirectly, Incur, or suffer to exist any Lien upon any of its respective property or assets, whether now owned or hereafter acquired which property or assets constitute Collateral, other than (a) in the case of the Company, Permitted TEC Liens, (b) in the case of any of the TARC Entities, Permitted TARC Liens, and (c) in the case of TransTexas, Permitted TransTexas Liens.

  • Upon payment in full of the TARC Intercompany Loan, the provisions contained in Articles IV, V, VI and XI of this Indenture, to the extent they relate to any of the TARC Entities, any of the TCR Holding Entities or TransContinental or the Capital Improvement Program, shall cease to be of any further force or effect and neither the Company nor any Guarantor shall be bound thereby.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Company Entities means the Company and the Company Subsidiaries.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Target Companies means the Target and its Subsidiaries.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Group Companies means the Company and its Subsidiaries.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Released Entities means released entities as such term is defined

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Buyer Group Member means Buyer and its Affiliates and their respective successors and assigns.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Seller Parent has the meaning set forth in the Preamble.
