Target Trust s audited financial statements for the year ended November 30, 2000, to be delivered to PACE Trust, fairly represent Target's financial position as of such date and the results of its operations and changes in its net assets for the period then ended; and
Target Trust s transfer agent shall deliver to Acquiring Trust at the Closing a statement of an authorized officer thereof certifying that its records contain the names and addresses of the Shareholders and the number and percentage ownership of outstanding Target Fund Shares owned by each Shareholder, all as of the Effective Time.
