Tax Side Letter definition

Tax Side Letter has the meaning set forth in Section 2.02(d)(iv). Schedule 1Definitions Page 19 “Taxing Authority” means any U.S. federal, state, provincial, local or foreign government, any subdivision, agency, commission or authority thereof or any quasi-governmental body exercising Tax regulatory authority.
Tax Side Letter has the meaning set forth in Section 7.9 to this Agreement.
Tax Side Letter means the letter agreement, dated as of the date hereof, by and among ACOF I LLC, Sears Holdings and Orchard Holdings.

  • Pricing Side Letter means that certain letter agreement between Buyer and Seller, dated as of the date hereof, as the same may be amended, restated, supplemented or otherwise modified from time to time.
