TCI Group definition

TCI Group means TCI and its Subsidiaries, collectively, or the applicable of TCI or a Subsidiary of TCI, as the context may require. If the Company ceases to be a Subsidiary of TCI, the Company and its Subsidiaries shall, notwithstanding the last sentence of the definition of Subsidiary above, be deemed for purposes of this definition only to continue to be Subsidiaries of TCI and, accordingly, members of the TCI Group.

TCI Group means, as of any date:

TCI Group shall have the meaning specified in the TCI Charter.

• A change of employment is not a termination of employment within the meaning of this paragraph 2, provided that, after giving effect to such change, Grantee is an employee of, or becomes or continues to be a consultant to, any member of the TCI Group.

• Dividends on the Series A TCI Group Common Stock and the Series B TCI Group Common Stock may be declared and paid only out of the lesser of (i) assets of the Corporation legally available therefor and (ii) the TCI Group Available Dividend Amount.

• The Corporation may provide for the initial issuance of shares of Series A Liberty Media Group Common Stock and Series B Liberty Media Group Common Stock by declaring and paying a distribution (the "Distribution") consisting of shares of Series A Liberty Media Group Common Stock to holders of Series A TCI Group Common Stock and, on an equal per share basis, shares of Series B Liberty Media Group Common Stock to holders of Series B TCI Group Common Stock.

• Holders of Series A TCI Group Common Stock shall be entitled to one vote for each share of such stock held, holders of Series B TCI Group Common Stock shall be entitled to ten votes for each share of such stock held, holders of Series A Liberty Media Group Common Stock shall be entitled to one vote for each share of such stock held and holders of Series B Liberty Media Group Common Stock shall be entitled to ten votes for each share of such stock held, on all matters presented to such stockholders.

• The term "Voting Securities" shall include the Series A TCI Group Common Stock, the Series B TCI Group Common Stock, the Series A Liberty Media Group Common Stock, the Series B Liberty Media Group Common Stock and any class or series of Preferred Stock entitled to vote with the holders of Common Stock generally upon all matters which may be submitted to a vote of stockholders at any annual meeting or special meeting thereof.

More Definitions of TCI Group

TCI Group means TCI GROUP Pty Limited and its successors and assigns.

TCI Group. As defined in the Company Charter (assuming that the Restructuring had occurred as contemplated by Section 2.1).

TCI Group means such subset of the group of Legal Entities that are members of the Common Stock Group as consists of TCI and each of the Legal Entities that is or was at any time owned directly or indirectly by TCI and owned or owns the assets and are or were primarily responsible for the liabilities tracked by the TCI Group Tracking Stock; provided, however, that the TCI Group shall not include any Legal Entity for such period as and to the extent that such Legal Entity is a member of the Liberty Group.

TCI Group means the group consisting of TCI and any Affiliate of TCI who acquires Shares and agrees to be bound by the terms of this Agreement by signing a counterpart signature page hereto.

TCI Group the collective reference to TCI and its subsidiaries and --------- Liberty and its subsidiaries, regardless of whether Liberty is a subsidiary of TCI.

TCI Group shall have the meaning given to such term in the AT&T/Liberty TSA.
