Term Loan DIP Documents definition

Term Loan DIP Documents means the Term Loan DIP Credit Agreement, together with any notes, certificates, agreements, security agreements, documents, or instruments (including any amendments, restatements, supplements, or modifications of any of the foregoing) related to or executed in connection with the Term Loan DIP Credit Agreement, as may be amended, restated, supplemented, or otherwise modified from time to time, which shall be in form and substance reasonably acceptable to the Company Parties, the Required Term DIP Lenders, the Required Consenting Priority Lenders, the Required Consenting First Lien Term Lenders, the Required Consenting Second Lien Term Lenders (solely to the extent required under the Required Second Lien Term Lender Consent Right), the Sponsors (solely to the extent required under the Sponsor Consent Right), the ABL DIP Agent and the ABL DIP Lender(s) (in each case, solely to the extent required under the ABL DIP Consent Right), and the Term DIP Agent (solely with respect to those provisions thereof that affect the rights, obligations, liabilities, and duties of the Term DIP Agent).
Term Loan DIP Documents means the Term Loan DIP Credit Agreement and any other documentation necessary or appropriate to effectuate the incurrence of the Term Loan DIP Facility.
Term Loan DIP Documents means the documents governing the Term Loan DIP Facility, including the Term Loan DIP Term Sheet and the DIP Orders and any amendments, modifications, and supplements thereto, and together with any related notes, certificates, agreements, security agreements, documents, and instruments (including any amendments, restatements, supplements or modifications of any of the foregoing) related to or executed in connection therewith.

Examples of Term Loan DIP Documents in a sentence

  • In accordance with the DIP Orders and the Term Loan DIP Documents, on the Plan Effective Date and in exchange for each Term Loan DIP Lender’s funding Term Loan DIP New Money Loans and its pro rata allocation of New Money 1L Exit Term Loans, (a) such Term Loan DIP Lender (or its designee) shall receive its pro rata share of the DIP-to-Exit Commitment Premium; and (b) Reorganized QualTek shall be authorized to issue the applicable New Money 1L Exit Term Loans and DIP-to-Exit Commitment Premium.

  • For the avoidance of doubt, unless waived in writing by the Required ABL DIP Lenders and Required Term Loan DIP Lenders, the failure of the Debtors to meet the Milestones (other than the Required Term Loan DIP Lenders’ obligation to provide the Reserve Price) by the applicable specified deadlines set forth therefor shall constitute an Event of Default under the Term Loan DIP Documents and this Final Order.

  • The DIP-to-Exit Allocation Process shall be open to all DIP-to-Exit Eligible Offerees, who shall be entitled to fund their Pro Rata share of Term Loan DIP New Money Loans and New Money Exit Financing Commitments in accordance with the Solicitation Materials and the Term Loan DIP Documents.

  • At the conclusion of the DIP-to-Exit Allocation Process, each Term Loan DIP Lender, including any Backstop Party, if applicable, shall have committed to lend its pro rata allocation of the New Money 1L Exit Term Loans to the Reorganized Debtors on the Plan Effective Date in accordance with the terms and conditions of the Term Loan DIP Documents.

Related to Term Loan DIP Documents

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Agreement.

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Second Lien Loan Documents means the Second Lien Credit Agreement and the other “Loan Documents” under and as defined in the Second Lien Credit Agreement, as each such document may be amended, renewed, restated, supplemented or otherwise modified from time to time.

  • Prepetition Loan Documents means the “Loan Documents” as defined in the Prepetition Credit Agreement, in each case as amended, supplemented, or modified from time to time prior to the Petition Date.

  • Refinancing Documents means each of the agreements, documents and instruments entered into in connection with the Refinancing.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Existing Loan Documents means the “Loan Documents” as defined in the Existing Credit Agreement.

  • DIP Facility Documents means the DIP Credit Agreement and any other documents and agreements entered into in connection with the DIP Credit Agreement or the incurrence of the DIP Facility and any orders of the Bankruptcy Court related thereto or entered in connection therewith.

  • Revolving Loan Documents has the meaning specified for the term “Loan Documents” in the Revolving Credit Agreement.

  • Borrower Loan Documents shall have the meaning given such term in the Borrower Loan Agreement.

  • First Lien Credit Documents means the “Credit Documents” as defined in the First Lien Credit Agreement.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • Original Loan Documents means the "Loan Documents" as defined in the Original Credit Agreement.

  • Subordinated Loan Documents means at any time the agreements and other documents then governing the Subordinated Indebtedness.

  • ABL Facility Documents the “Loan Documents” as defined in the Senior ABL Facility Agreement, as the same may be amended, supplemented, waived, otherwise modified, extended, renewed, refinanced or replaced from time to time.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Financing, including all credit agreements, loan documents, purchase agreements, underwriting agreements, indentures, debentures and notes pursuant to which the Financing will be governed or contemplated by the Debt Commitment Letter.

  • Subordinate Loan Documents means the Subordinate Note, the Subordinate Mortgage, and all other documents at any time evidencing, securing, guaranteeing, or otherwise delivered in connection with the Subordinate Indebtedness.

  • Mezzanine Loan Documents means, as to each Mezzanine Loan, all documents evidencing, securing, guaranteeing and/or perfecting such Mezzanine Loan and all documents executed and/or delivered in connection therewith.

  • DIP Facility means the debtor-in-possession secured financing facility provided to the Debtors by the DIP Lenders pursuant to the DIP Credit Agreement as authorized by the Bankruptcy Court pursuant to the DIP Facility Order.

  • Term Loan Facilities means the Term Loan A Facility and the Term Loan B Facility.

  • Term Loan Agreement has the meaning assigned to such term in the recitals of this Agreement.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Prepetition Credit Agreement has the meaning specified in the recitals hereto.

  • Term Loan Obligations means the “Obligations” as defined in the Term Loan Credit Agreement.
