Terminal Link definition

Terminal Link means an electronic data transmission link between the Fund and the Custodian requiring in connection with each use of the Terminal Link the use of an authorization code provided by the Custodian and at least two access codes established by the Fund, provided, that the Fund shall have delivered to the Custodian a Certificate substantially in the form of Appendix C.
Terminal Link means an electronic data transmission link between a Fund, Franklin Xxxxxxxxx Investor Services, Inc. acting as agent for the Fund ("FTISI"), and the Custodian requiring in connection with each use of the Terminal Link by or on behalf of the Fund use of an authorization code provided by the Custodian and at least two access codes established by the Fund. Each Fund represents that FTISI will maintain a transmission line to the Custodian and has been selected by the Fund to receive electronic data transmissions from the Custodian or the Fund and forward the same to the Fund or the Custodian, respectively.
Terminal Link means an electronic data transmission link between the Administrator on behalf of the Fund and the Custodian requiring in connection with each use of the Terminal Link by or on behalf of the Administrator on behalf of the Fund use of an authorization code provided by the Custodian and at least two access codes established by the Administrator on behalf of the Fund.

  • Each party will, and will cause its officers and employees to, treat the user and authorization codes, passwords and authentication keys applicable to Terminal Link with extreme care.

  • At no time and under no circumstances shall the Fund be obligated to have or utilize the Terminal Link, and the provisions of this Article shall apply if, but only if, the Fund in its sole and absolute discretion elects to utilize the Terminal Link to transmit Certificates to and to receive notices from the Custodian.

  • The Fund acknowledges that the Terminal Link is the property of the Custodian and, accordingly, the Fund agrees that any modifications to the Terminal Link, whether by the Fund or the Custodian and whether with or without the Custodian's consent, shall become the property of the Custodian.

  • Each use of the Terminal Link by the Fund shall constitute a representation and warranty that at least two such access codes have been utilized and that such procedures have been established.

  • The Custodian reserves the right to modify the Terminal Link from time to time without notice to the Fund, except that the Custodian shall give the Fund notice not less than 75 days in advance of any modification which would materially adversely affect the Fund's operation, and the Fund agrees not to modify or attempt to modify the Terminal Link without the Bank's prior written consent.

  • Municipal Separate Storm Sewer System Management Program means a management program covering the duration of a state permit for a municipal separate storm sewer system that includes a comprehensive planning process that involves public participation and intergovernmental coordination, to reduce the discharge of pollutants to the maximum extent practicable, to protect water quality, and to satisfy the appropriate water quality requirements of the CWA and regulations, and this article and its attendant regulations, using management practices, control techniques, and system, design, and engineering methods, and such other provisions that are appropriate.
