Terminated Option definition

Terminated Option means with respect to a termination of this Agreement pursuant to ARTICLE 14, as applicable, (a) the Options subject to such termination; and (b) with respect to termination of this Agreement in its entirety, all Options.
Terminated Option is defined in Section 2.8(b).
Terminated Option shall have the meaning set forth in Section 1.5(c)(i).

More Definitions of Terminated Option

Terminated Option has the meaning specified in Section l.l(b).
Terminated Option means (i) a Vested Option, UK EMI Option or Unvested Option that has been terminated as a result of a holder of such Vested Option, Unvested Option or UK EMI Option failing to execute the Stock Option Cash Out Agreement pursuant to Sections 2.3(c), 2.6(a), and 2.6(b), respectively and (ii) an Assumed Option or Assumed UK EMI Option, or any portion thereof, that conclusively expires, lapses, terminates, is cancelled or forfeited or is no longer able to vest (for any reason) without having been exercised.

Related to Terminated Option

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Related Option means an Option with respect to which a Stock Appreciation Right has been granted.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Termination Right have the respective meanings given in the PRA Contractual Stay Rules.

  • Optioned Stock means the Common Stock subject to an Option.

  • Vested Portion means, at any time, the portion of an Option which has become vested, as described in Section 3 of this Agreement.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Parent Stock Option means any option to purchase Parent Common Stock.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • Termination Option means the option of either party to terminate a transaction in the event that the other party fails to perform a Firm obligation to deliver Gas in the case of Seller or to receive Gas in the case of Buyer for a designated number of days during a period as specified on the applicable Transaction Confirmation.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.
