Examples of Termination Outside Date in a sentence
Any attempted exercise of the Clinical Trial Termination Option after the Clinical Trial Termination Outside Date shall be void and of no force or effect.
In consideration for the rights granted to Buyer under this Agreement, Buyer shall pay Seller (a) an $800,000 fee within five (5) Business Days after the Effective Date, and (b) a $200,000 fee within five (5) Business Days after the Termination Outside Date if neither party elects to terminate this Agreement prior to the Termination Outside Date in accordance with Section 4 (collectively, the “Fee”).
Tenant acknowledges that it would be inequitable to require Landlord to accept any exercise of the Clinical Trial Termination Option after the Clinical Trial Termination Outside Date.
In the event that the requirements of the foregoing sentence have not occurred on or before the Clinical Trial Termination Outside Date, the Clinical Trial Termination Option shall automatically become void and of no further force or effect.
If the Tenant Delay is ongoing at the time of Landlord’s notice to Tenant advising Tenant of the Tenant Delay, Landlord shall notify Tenant of Landlord’s good faith estimate of the impact such Tenant Delay had or will have on the Abatement Date, Holdover Rent Date, Termination Outside Date and date of Substantial Completion within a reasonable period after the Tenant Delay ends.
In the event that the Clinical Trial fails to meet one or more of the primary or secondary endpoints (such endpoints being referred to herein collectively as the “Clinical Endpoints”) on or before March 31, 2017 (the “Clinical Trial Termination Outside Date), then Tenant will have a one-time option to terminate this Lease (the “Clinical Trial Termination Option”), subject to the terms, conditions and provisions of this Section.
Landlord shall give Tenant notice identifying any Tenant Delay within five (5) Business Days after Landlord obtains Actual EXHIBIT 10.57 Knowledge thereof, and, unless the Tenant Delay is still ongoing at the time of Landlord’s notice to Tenant, such notice shall include Landlord’s good faith estimate of the impact such Tenant Delay had or will have on the Abatement Date, Holdover Rent Date, Termination Outside Date and date of Substantial Completion.
The Clinical Trial Termination Outside Date shall not be extended for any reason whatsoever.
