Termination upon a Change of Control definition

Termination upon a Change of Control means a Termination of Employment upon or within two (2) years after a Change of Control either:

  • Whether there is a Termination Upon a Change of Control for purposes of this Strategic Performance Share grant is determined by reference to a Change of Control (as defined in the Plan) of the entity issuing this grant (Cigna Corporation) and not by reference to a Change of Control of any predecessor entity of Cigna Corporation.

  • In the event of a Termination Upon a Change of Control, as defined, grants are fully vested, their value is set at target and the amounts are immediately paid out.

Termination upon a Change of Control means a Separation from Service upon or within two (2) years after a Change of Control either:

Termination upon a Change of Control means a Termination of Employment upon or within two years after a Change of Control or six months prior to a Change of Control, and it is reasonably demonstrated by Employee that such Termination of Employment was the result of the request of a third party who has taken steps reasonably calculated to effect the Change of Control or otherwise arose in connection with or in anticipation of the Change of Control, either:
