Termination Value Payment definition

Termination Value Payment means the amounts payable by the Lessee pursuant to Section 21.1(a) or the amounts payable by the Lessee pursuant to Section 21.1(b), as applicable, including, in each case (without duplication but for the avoidance of doubt) the Make-Whole Premium.
Termination Value Payment means, at any time, the payment of the Termination Value due to the Issuer pursuant to article 13 of the Service Contract, as well as with the relevant regulation from time to time applicable (i) upon the termination, forfeiture, revocation, resolution or expiry (decadenza, risoluzione, revoca, recesso or scadenza) (both if at the stated maturity or anticipated) of the Service Contract under the terms of the Service Contract or as a result of the Issuer exercising its rights of withdrawal under the Service Contract; or (ii) in any other circumstance where the Issuer is substituted by another entity in managing the Concession and the payment of the Termination Value is to be made by such other entity in accordance with the Service Contract.
Termination Value Payment means the payment to be remitted to the Administrative Agent by a Lessee, if such Lessee elects or is required to purchase a Vehicle in connection with the exercise of the Annual Termination Option, in an amount equal to such Vehicle's Termination Value.

  • In either case, upon payment of such amounts, (a) Allocated Rent shall cease to accrue, this Facility Lease, and the Facility Lessee's obligation to pay Basic Lease Rent or Renewal Lease Rent hereunder, as the case may be, shall terminate, except for covenants that survive pursuant to the express terms of any Operative Document and (c) the Owner Lessor shall pay to the Facility Lessee the Lessor Section 467 Loan Balance, if any, determined as of the Termination Value Payment Date.

  • Calculation Amount means the amount specified as such on the face of any Note, or if no such amount is so specified, the Denomination Amount of such Note as shown on the face thereof;

  • Loss of Value Payment As defined in Section 2.03(a) of this Agreement.

  • Monthly Payment Amount means, with respect to each Payment Date, a payment equal to the amount of interest which has accrued during the related Interest Accrual Period, computed at the Interest Rate.

  • Contribution Value means the fair market value as reasonably determined by the General Partner of property (other than cash) contributed by a Partner to the Partnership (net of liabilities secured by such contributed property that the Partnership is treated as assuming or taking subject to pursuant to the provisions of Section 752 of the Code).
