Third Tranche Shares definition

Third Tranche Shares means that number of shares of Common Stock equal to Ten Million Dollars ($10,000,000) divided by the Bloomberg volume-weighted average price for a share of Common Stock on the NASDAQ Global Select Market for the 30 Trading Day period ending on the last Trading Day prior to the Third Tranche Notice, rounded to the nearest whole share. For clarity, each of the Initial Closing, Second Tranche Closing and Third Tranche Closing shall be referred to as a “Closing.”

Third Tranche Shares shall have the meaning set forth in Section 1.1(d)(i) hereof.

Examples of Third Tranche Shares in a sentence

• A “Third Tranche Notice” shall mean an irrevocable written notice specifying a closing date for the purchase of the Third Tranche Shares pursuant to this Section 1.4 (the “Third Tranche Closing”), which notice shall be delivered no less than ten (10) Trading Days prior to the date of the Third Tranche Closing.

• The Company hereby agrees to deliver to Purchaser a book entry statement from the Transfer Agent showing the Initial Closing Shares, Second Tranche Shares or Third Tranche Shares, as applicable, registered in the name of Purchaser within three (3) business days of the applicable Closing.

• The shares of Preferred Stock cancelled pursuant to this section shall be cancelled on a pro rata basis among the Sellers and shall all consist of Third Tranche Shares.

• In order to provide a measure of liquidity to address potential income tax issues, Employee shall have a limited put right for up to all of any Base Year's First, Second and/or Third Tranche Shares issued to Employee pursuant to Section 2(d) hereof as set forth below.

• In the event of any such cancellation, Sellers agree to promptly return any certificate(s) representing shares of Preferred Stock to be marked as “cancelled” (and if less than all Third Tranche Shares were cancelled, reissuance for the balance of the Third Tranche Shares that remain outstanding).
