  • TIMET’s right to use the License shall include the right to grant one or more third parties sublicenses for the performance of the Titanium Conversion Services, provided, however, that any sublicensee must satisfy the terms of this Agreement, including Section 15, and sublicensing will have no effect on TIMET’s obligations under this Agreement.

  • TIMET shall have the unlimited right to, among other things, enter into discussions, negotiations, and agreements regarding the performance of the Titanium Conversion Services by any potential alternative supplier(s), including without limitation, any current or former agents, consultants, directors, employees, or officers of Xxxxxx so long as such parties are not subject to restrictions under a noncompetition agreement.

  • Xxxxxx hereby grants TIMET a non-exclusive worldwide, irrevocable, fully paid, and in the event TIMET exercises its rights under Section 8(b) hereof, fully transferable, right and license to use any Intellectual Property necessary or helpful for the performance of the Titanium Conversion Services for use by TIMET or a sublicensee (the “License”).

  • TIMET and its sublicensees, if any, shall treat and preserve the Intellectual Property in accordance with the same practices employed by TIMET to safeguard its own intellectual property against unauthorized use and disclosure and, except as set forth under Section 5(e) below, will only use such information, data and trade secrets during an Access Period in connection with producing the Titanium Conversion Services.

  • Although the License is being granted to TIMET as of the date set forth above, TIMET agrees that, except as set forth under Section 5(e) below, neither it nor its sublicensees will utilize the License unless TIMET invokes the Right to Access and then TIMET and its sublicensee will only use the License (i) during an Access Period and (ii) in connection with the performance of the Titanium Conversion Services using the Operating Assets.

  • For example, information is exempt if a company or person gives confidential information to the authority and it is agreed to keep it confidential (for example, by signing a contract with a confidentiality clause).

  • The foregoing indemnity shall not apply to claims, costs, expenses or liability arising from injury or Damage resulting from products produced by XXXXXX through the performance of Titanium Conversion Services.

  • Xxxxxx and TIMET shall work in good faith to package Materials with respect to which Titanium Conversion Services have been provided in accordance with good commercial practice so as to protect against damage to such Materials that will result from weather or transportation.

  • All invoices shall contain the Submission Sheet and Purchase Order Number and the description, quantity and unit price of the Titanium Conversion Services provided.

  • Risk of loss of the Material and products manufactured therefrom shall pass upon their delivery from TIMET to XXXXXX for Titanium Conversion Services FOB XXXXXX facility.

Related to Titanium Conversion Services

  • Subscription Services means SAP’s then-current subscription services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Installation Services means all those services ancillary to the supply of the Plant and Equipment for the Facilities, to be provided by the Contractor under the Contract; e.g., transportation and provision of marine or other similar insurance, inspection, expediting, site preparation works (including the provision and use of Contractor’s Equipment and the supply of all construction materials required), installation, testing, pre-commissioning, commissioning, operations, maintenance, the provision of operations and maintenance manuals, training, etc.

  • Interconnection Service(s) means any Interconnection, Resale Services, 251(c)(3) UNEs, Collocation, functions, facilities, products or services offered under this Agreement.

  • Collection Services means all of the duties and obligations of the Contractor hereunder.

  • Construction Services means either of the following for construction-manager-at-risk, design-build and job-order-contracting project delivery methods:

  • Application Services means the hosted applications and related services as described in Exhibit A.

  • Implementation Services has the meaning set forth in Section 2.1.

  • Respite services means a temporary period of relief and support for individuals and their families provided in a variety of settings. The intent is to provide a safe environment with staff assistance for individuals who lack an adequate support system to address current issues related to a disability. Respite may be provided for a defined period of time; respite is either planned or provided in response to a crisis.

  • Distribution Services means the service of distribution, as defined in section 5 of the Act;

  • Provisional Interconnection Service means interconnection service provided by Transmission Provider associated with interconnecting the Interconnection Customer’s Generating Facility to Transmission Provider’s Transmission System and enabling that Transmission System to receive electric energy and capacity from the Generating Facility at the Point of Interconnection, pursuant to the terms of the Interconnection Service Agreement and, if applicable, the Tariff.

  • Interconnection Service means the physical and electrical interconnection of the Customer Facility with the Transmission System pursuant to the terms of Tariff, Part IV and Tariff, Part VI and the Interconnection Service Agreement entered into pursuant thereto by Interconnection Customer, the Interconnected Transmission Owner and Transmission Provider.

  • Satellite services means communications capabilities that utilize an on-orbit satellite for transmitting the signal from one location to another.

  • Delivery Services means those services provided by the

  • Generation Service means the sale of electricity, including ancillary services such as the provision of reserves, to a Customer by a Competitive Supplier.

  • Subscription Service means the ServiceNow software-as-a-service offering ordered by Customer under an Order Form, Use Authorization or other signed ordering document between ServiceNow and Customer.

  • Network Integration Transmission Service means the transmission service provided under Tariff, Part III.

  • Stop Work Order means the written Notice, delivered in accordance with this Agreement, by which the State may require the Contractor to stop all, or any part, of the Work of this Agreement, for the period set forth in the Stop Work Order. The Stop Work Order shall be specifically identified as such and shall indicate that it is issued pursuant to the Stop Work provision in this Exhibit B.

  • Communication Services means aeronautical fixed and mobile services to enable ground-to-ground, air-to-ground and air-to-air communications for ATC purposes;

  • Optional Services means services that a USF Service Provider is authorized but not required to provide pursuant to the USF Services and Subsidy Agreement and any Licences held by a USF Service Provider;

  • Interconnection Service Agreement means an agreement among the Transmission Provider, an Interconnection Customer and an Interconnected Transmission Owner regarding interconnection under Tariff, Part IV and Tariff, Part VI.

  • Education Services means training services performed or delivered by Company.

  • Company Services means any services (including but not limited to technical and product support, technical advice, underwriting and customer services) supplied by the Company or its Affiliates in the specialty property and/or casualty insurance business.

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Cable Services means the transmission by cable of programs including retransmission by cable of any satellite television signals.

  • Early intervention services means individual programmes for children with developmental delays or disabilities, or children at risk of being developmentally delayed or of having a disability, aged 0 to 6 years, aimed at providing assistance to the child and its family in the areas of physical, emotional, social and educational needs.

  • System Services has the meaning given such term in Section 3.1.
