TLC Group has the meaning set forth in the preamble hereto. OPERATIVE PROVISIONS. Parent shall indemnify TLC against and be responsible for all Post-Distribution Taxes attributable to any member of the Parent Group and all Pre-Distribution Taxes. TLC shall indemnify Parent against and shall be responsible for all Post-Distribution Taxes attributable to any member of the TLC Group.
