The TONA rate applied to a day that is not a Tokyo Banking Day will be taken by applying the TONA rate for the previous Tokyo Banking Day but without compounding.
If, in respect of a Tokyo Banking Day the Calculation Agent (or such other party responsible for the calculation of the Rate of Interest, as specified in the applicable Final Terms) determines that the TONA is not available on the Relevant Screen Page or has not otherwise been published by the relevant authorised distributors, such TONA shall be the TONA in respect of the first preceding Tokyo Banking Day on which the TONA rate was published by the Bank of Japan or by the relevant authorised distributors).
Investors should carefully consider how any mismatch between the adoption of TONA reference rates across these markets may impact any hedging or other financial arrangements which they may put in place in connection with any acquisition, holding or disposal of Notes referencing a TONA rate.
It may be difficult for investors in Notes which reference a TONA rate to reliably estimate the amount of interest which will be payableon such Notes, and some investors may be unable or unwilling to trade such Notes without changes to their IT systems, both of which could adversely impact the liquidity of such Notes.
If the Calculation Agent determines that it is unable to determine the TONA rate in accordance with the preceding sentence, the TONA rate in respect of the relevant determination date shall be such other rate as determined by the Calculation Agent, taking into account any sources as it considers appropriate and any alternative benchmarks then available and taking into account prevailing industry standards in any related market (including, without limitation, the derivatives market).
The market or a significant part thereof may adopt an application of TONA that differs significantly from that set out in the Terms and Conditions of the Notes and used in relation to Floating Rate Notes that reference a TONA rate that are issued under this Base Prospectus.
