Total Service Failure definition

Total Service Failure means less than 50% of the total number of web Articles from the eClips Web Core Repertoire (excluding titles which the Licensee is receiving a rebate for under Appendix 5) have been made available by the NLA for two consecutive Peak Periods excluding any periods of Service Level Suspension;
Total Service Failure shall have the meaning set out in paragraph 2.6 of Schedule 13 (Performance Regime).

  • Excused Outage means any disruption to or unavailability of Services caused by or due to (i) Scheduled Maintenance,

  • Rectification Period means the period of time set out in Section 4.3 of this RFP during which a Proponent will be permitted to rectify its Proposal to satisfy the mandatory submission requirements of this RFP.

  • Actual service means the total straight-time pay hours accumulated in a title. The first 240 hours per year of authorized unpaid time off for non- disciplinary reasons shall not be deducted from actual service.

  • Transaction Failure means the failure to consummate a Business Combination within 18 months of the Effective Date (or 24 months after the Effective Date, if a letter of intent, agreement in principle or definitive agreement has been executed within 18 months after the Effective Date and the Business Combination relating thereto has not yet been consummated within such 18-month period).
