Total Stock Amount definition

Total Stock Amount means the product obtained by multiplying (x) 0.62521 by (y) 60% of the Deemed Stock Amount.
Total Stock Amount means 304,631 shares of Northrim Common Stock; provided, however, that (i) if the Northrim Average Share Price is greater than $24.46 then the number of shares of Northrim Common Stock shall equal the quotient of (x) $7,451,274, divided by (y) the Northrim Average Share Price, (ii) if the Northrim Average Share Price is less than $20.01, but not less than $18.90, then the number of shares of Northrim Common Stock shall equal the quotient of (x) $6,095,666, divided by (y) the Northrim Average Share Price, and (iii) if the Northrim Average Share Price is less than $18.90 then the number of shares of Northrim Common Stock and/or the Total Cash Amount may (under the circumstances and subject to the limitations set forth in Section 10.4(d) only) be increased by Northrim so that the Aggregate Merger Consideration is not less than $12,513,666 (and only to the extent determined by Northrim in its sole discretion).
Total Stock Amount has the meaning given such term on page 3 of this Agreement.

More Definitions of Total Stock Amount

Total Stock Amount means 12,809,525 shares of Purchaser Common Stock.
Total Stock Amount means 5,916,430 shares of Frontier Common Stock plus the product of 0.90 times the increase in the number of shares of WBC Common Stock outstanding by virtue of the exercise of any stock option, warrant, or other derivative security between the Execution Date and the Effective Time (the “Base Stock Amount”); provided, however, that (i) if the Frontier Average Share Price is less than $21.00 then the number of shares of Frontier Common Stock and/or the Total Cash Amount may (under the circumstances and subject to the limitations set forth in Section 8.1(G) only) be increased by Frontier so that the Merger Consideration is not less than $19.41 (and only to the extent necessary), and (ii) if the Frontier Average Share Price is more than $27.00 then the number of shares of Frontier Common Stock shall equal the Base Stock Amount multiplied by the quotient of $27.00 as the numerator and the Frontier Average Share Price as the denominator so that the Merger Consideration is not more than $23.54 (and only to the extent necessary).
