Transaction Affiliate definition

Transaction Affiliate means an Affiliate of the Seller --------------------- that is a Transferring Affiliate and/or an Employee Affiliate.
Transaction Affiliate has the meaning assigned thereto in Section 13.10.
Transaction Affiliate. An Affiliate of Lessee who is a party to one or more of the Meditrust/ALP Transaction Documents (other than the Affiliated Party Subordination Agreement, the Agreement Regarding Related Transactions and comparable agreement now or hereafter in effect among Affiliates of each of Lessee and Lessor).

  • Transaction Person with respect to a Transaction shall mean (i) any Person who (x) is or will become an Acquiring Person or a Principal Party (as such term is hereinafter defined) if the Transaction were to be consummated and (y) directly or indirectly proposed or nominated a director of the Company which director is in office at the time of consideration of the Transaction, or (ii) an Affiliate or Associate of such a Person.

  • Required Transaction means any transaction involving a Swap that is subject to the trade execution requirement of Section 2(h)(8) of the Act.

Any such designation by the Board of Directors of the Borrower shall be evidenced to the Agent (for distribution to the Lenders) by filing with the Agent a certified copy of the Board Resolution of the Borrower giving effect to such designation and an Officers’ Certificate certifying that such designation complied with the foregoing conditions.
