Transaction Support Agreements definition

Transaction Support Agreements has the meaning set forth in the recitals to this Agreement.

Transaction Support Agreements means the separate transaction support agreements entered into effective as of January 15, 2016 (together with any additional transaction support agreements entered subsequently thereto on substantially similar terms to those effective January 15, 2016), as amended and restated effective as of March 16, 2016, and as further amended on May 13, 2016, among the Company, the certain holders of the Company’s Existing Notes and/or Existing Convertible Notes named therein.

• The Company and Parent agree that notwithstanding anything in Section 10.2 or in the Confidentiality Agreement to the contrary, the standstill provisions set forth in the sixth paragraph of the Confidentiality Agreement shall not survive and shall forthwith become void in the event that the Options (as defined in the Transaction Support Agreements) become exercisable pursuant to the terms of the Transaction Support Agreements.

• Other than the registration rights set forth in the Subscription Agreements and the Transaction Support Agreements (each as defined in the BCA), PubCo represents and warrants that no Person, other than a Holder of Registrable Securities pursuant hereto, has any right to require PubCo to register any securities of PubCo for sale or to include such securities of PubCo in any Registration Statement filed by PubCo for the sale of securities for its own account or for the account of any other Person.
