Transfer Restriction Legend definition

Transfer Restriction Legend means a legend substantially in the form set forth in Exhibit C.

• If the Transfer Restriction Legend is removed from the face of a Note, the Transfer Restriction Legend shall be reinstated at any time the Company reasonably determinates that, to comply with applicable law (including, without limitation, the Securities Act), such Note must bear the Transfer Restriction Legend.
