Business Employees who accept such offers of employment from Buyer are referred to herein as "Transferred Business Employees"; such employment by Buyer shall commence upon the Closing Date at the same wages or salaries and substantially similar employee benefits, in the aggregate, as provided by the Sellers immediately prior to the Closing Date.
For the avoidance of doubt, other than the payment of individual allocations of the Bonus Pool Amount to eligible Transferred Business Employees in accordance with this Section 6.19, Buyer shall not have any obligation to pay any amount with respect to any 2015 bonus to any Business Employee (including any Inactive Business Employee or Management Employee).
As soon as practicable after the Closing Date, the Seller Defined Contribution Plans shall, to the extent permitted by applicable Law, make distributions available to the applicable Transferred Business Employees, and the Purchaser Defined Contribution Plan shall accept any such distribution (including loans) as a rollover contribution if so directed by such Transferred Business Employees.
Purchaser shall, or shall cause one of its Affiliates to, take the steps reasonably necessary (i) to obtain for the Transferred Business Employees authorization to work in the United States for Purchaser or its Affiliates as of the Closing, including, if necessary, submitting timely petitions for change of employer or similar petitions or applications; and (ii) to ensure that no “green card” process initiated prior to the Closing is deemed abandoned or withdrawn as a result of the change of employer.
From and after the Closing, the Transferred Business Employees shall cease to be active participants in the Benefit Plans.
