Transferred Business Employees definition

Transferred Business Employees means the Business Employees and the Affiliated Employees who accept Purchaser’s offer of employment.

Transferred Business Employees has the meaning set forth in Section 6.01.

Transferred Business Employees means any persons employed or engaged in any capacity by NanoString who are assigned to the Business as of the Closing Date and whose terms and conditions of employment automatically transfer to Veracyte as of the Closing Date (if any) (subject to the Transition Services Agreement) as if such terms and conditions were originally made between Veracyte and any such person in accordance with the Transfer Regulations.

• Business Employees who accept such offers of employment from Buyer are referred to herein as "Transferred Business Employees"; such employment by Buyer shall commence upon the Closing Date at the same wages or salaries and substantially similar employee benefits, in the aggregate, as provided by the Sellers immediately prior to the Closing Date.

• For the avoidance of doubt, other than the payment of individual allocations of the Bonus Pool Amount to eligible Transferred Business Employees in accordance with this Section 6.19, Buyer shall not have any obligation to pay any amount with respect to any 2015 bonus to any Business Employee (including any Inactive Business Employee or Management Employee).

• As soon as practicable after the Closing Date, the Seller Defined Contribution Plans shall, to the extent permitted by applicable Law, make distributions available to the applicable Transferred Business Employees, and the Purchaser Defined Contribution Plan shall accept any such distribution (including loans) as a rollover contribution if so directed by such Transferred Business Employees.

• Purchaser shall, or shall cause one of its Affiliates to, take the steps reasonably necessary (i) to obtain for the Transferred Business Employees authorization to work in the United States for Purchaser or its Affiliates as of the Closing, including, if necessary, submitting timely petitions for change of employer or similar petitions or applications; and (ii) to ensure that no “green card” process initiated prior to the Closing is deemed abandoned or withdrawn as a result of the change of employer.

• From and after the Closing, the Transferred Business Employees shall cease to be active participants in the Benefit Plans.

More Definitions of Transferred Business Employees

Transferred Business Employees means those employees who are employed by Buyer, Italian Newco or Singapore Newco on and after the Closing Date pursuant to acceptance of the offers of employment made under Section 8.1(a), (b) and (c) of this Agreement.

Transferred Business Employees means any Business Employee who: (i) as of the Closing Date is offered employment by Purchaser; (ii) accepts such offer of employment prior to the deadline time on the Closing Effective Date established by Purchaser for acceptance of Purchaser's offer of employment; and (iii) commences employment with Purchaser on the Closing Effective Date.

Transferred Business Employees means only those Business Employees listed on the Transferred Business Employees Schedule, which Business Employees have accepted employment with the Purchaser or Purchaser promptly following the Closing in accordance with an employment offer from either Purchaser or Purchaser.

Transferred Business Employees means, with respect to the Purchased Assets, the Business Employees who immediately prior to the Closing are employees of a Seller Entity or Rexam Entity (but not of a Purchased Entity), whose employment transfers to Purchaser or any Affiliate of Purchaser as a result of the Transaction or are Offer Employees who are offered employment by Purchaser or its applicable Affiliate pursuant to Section 5.1(a)(i) and who accept such offer of employment and commence employment with Purchaser or its Affiliates at or immediately following the Closing Date.
