Transferred Business Employees definition

Transferred Business Employees has the meaning set forth in Section 6.01.

Transferred Business Employees means the Business Employees and the Affiliated Employees who accept Purchaser’s offer of employment.

Transferred Business Employees means any persons employed or engaged in any capacity by NanoString who are assigned to the Business as of the Closing Date and whose terms and conditions of employment automatically transfer to Veracyte as of the Closing Date (if any) (subject to the Transition Services Agreement) as if such terms and conditions were originally made between Veracyte and any such person in accordance with the Transfer Regulations.

Examples of Transferred Business Employees in a sentence

• Purchaser agrees to provide the Transferred Business Employees with the same banking privileges, if any, that Purchaser generally provides to similarly situated employees of Purchaser (both by job classification or status and by geographic location).

• Those Business Employees and Affiliated Employees who do not accept Comparable Job Offer from Purchaser shall not be considered Transferred Business Employees for any purpose of this Agreement.

• Purchaser shall take all action necessary to permit Purchaser’s tax-qualified employee savings plan(s) maintained in the United States and in which Transferred Business Employees participate to accept rollover contributions of “eligible rollover distributions” (within the meaning of Section 402(c)(4) of the Code) for the benefit of participating Transferred Business Employees.

• Purchaser shall indemnify and hold harmless Seller and its affiliates with respect to any Liability under COBRA or similar applicable Laws in the United States arising from the actions (or inactions) of Purchaser or its Subsidiaries relating to Transferred Business Employees on or after the Closing Date.

• Effective as of the applicable Employment Transfer Date, the Liability in respect of bonus awards allocable to Transferred Business Employees in respect of the fiscal year in which the applicable Employment Transfer Date occurs under any Benefit Plan that is an annual bonus plan shall be assumed by Purchaser based on the accrual for such Transferred Business Employees as shown on the books and records of Seller Entities as of immediately prior to the applicable Employment Transfer Date.

More Definitions of Transferred Business Employees

Transferred Business Employees means any Business Employee who: (i) as of the Closing Date is offered employment by Purchaser; (ii) accepts such offer of employment prior to the deadline time on the Closing Effective Date established by Purchaser for acceptance of Purchaser's offer of employment; and (iii) commences employment with Purchaser on the Closing Effective Date.

Transferred Business Employees means only those Business Employees listed on the Transferred Business Employees Schedule, which Business Employees have accepted employment with the Purchaser or Purchaser promptly following the Closing in accordance with an employment offer from either Purchaser or Purchaser.

Transferred Business Employees means, with respect to the Purchased Assets, the Business Employees who immediately prior to the Closing are employees of a Seller Entity or Rexam Entity (but not of a Purchased Entity), whose employment transfers to Purchaser or any Affiliate of Purchaser as a result of the Transaction or are Offer Employees who are offered employment by Purchaser or its applicable Affiliate pursuant to Section 5.1(a)(i) and who accept such offer of employment and commence employment with Purchaser or its Affiliates at or immediately following the Closing Date.

Transferred Business Employees means those employees who are employed by Buyer, Italian Newco or Singapore Newco on and after the Closing Date pursuant to acceptance of the offers of employment made under Section 8.1(a), (b) and (c) of this Agreement.
