Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.
Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.
Contractor employee means prime Contractor and subcontractor employees who require agency access to perform work under a CMS contract.
Transferring Supplier Employees means those employees of the Supplier and/or the Supplier’s Sub-Contractors to whom the Employment Regulations will apply on the Service Transfer Date.
Transferring Employee means an employee at the airport who timely transfers to the regional authority by the transfer date.
Prime Contractor employee, as used in this clause, means any officer, partner, employee, or agent of a prime Contractor.
Contract employee means an employee performing services under a PEO services contract or temporary help services contract.
Transferred Employees has the meaning set forth in Section 6.4(a).
Company Employees shall have the meaning set forth in Section 6.10(a).
Designated Employees means a person occupying any of the following position in the Company:
Transferred Employee has the meaning set forth in Section 6.01(a).
Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.
Retained Employees has the meaning set forth in Section 6.1.1.
Business Employees has the meaning set forth in Section 4.10(a).
Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.
Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.
Company Service means the Company's email, Internet, security management services provided to End Users for the purposes of conducting Company's internal business.
Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.
Excluded Employees has the meaning set forth in Section 14.1.
Public safety employee means a public employee who is employed as one of the following:
Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.
Business Employee means any individual employed by Seller in or in connection with the Business.
Client employer means an Employer that is involved in a Tri-Party Employment Relationship due to obtaining the services of a third-party entity.
Company Employee means an employee of the Company or an employee of a Subsidiary of the Company, if any.
New employee orientation means the onboarding process of a newly hired public employee, whether in person, online, or through other means or mediums, in which employees are advised of their employment status, rights, benefits, duties and responsibilities, or any other employment-related matters.
Seller Employee Plan means any plan, program, policy, practice, Contract or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written, unwritten or otherwise, funded or unfunded, including each "employee benefit plan," within the meaning of Section 3(3) of ERISA (whether or not ERISA is applicable to such plan), that is or has been maintained, contributed to, or required to be contributed to, by the Seller or any Seller Affiliate for the benefit of any Seller Employee, or with respect to which the Seller or any Seller Affiliate has or may have any liability or obligation, except such definition shall not include any Seller Employee Agreement.
