Transferring Members definition

Transferring Members has the meaning set forth in Section 11.5(e).
Transferring Members means the employees and former employees (and those entitled through them, including pension credit members) of a probation trust (or its predecessor local probation boards or probation committees) who are the subject of the changes of Scheme employer and appropriate administering authority referred to in paragraph (1) and any persons specified in accordance with regulation 3A(5)(d) or (e) (civil servants etc engaged in probation provision) as a person to whom regulation 3A(5) applies;
Transferring Members means persons who were reported as Full Members in the last Annual Return of the Disbanding Branch and who remained Full Members of that Branch as at the date of giving notice to the National Executive Committee pursuant to Rule 22.3 (22.3)

Examples of Transferring Members in a sentence

  • The Managing Member shall effect the purchase of the Transferring Member's Membership Shares, including payment of the purchase price, not more than thirty (30) days after delivery of the Managing Member Notice, and at such time the Transferring Member shall sell to the Company the Membership Shares free and clear of any liens or encumbrances and shall execute such documentation as the Managing Member may reasonably propose in connection with such sale.

  • Upon the acceptance by all or some of the non-transferring Members of the Transferring Member's offer, the transfer of the Offered Interest from the Transferring Member to the purchasing Member(s) (the "Purchasing Member(s)") shall be closed and consummated in the principal office of the Company, on or before 11:00 A.M. local time on the ninetieth (90th) day following the Notice Date (or, if such day is not a business day, the business day next following such day).

  • The Transferring Member, prior to making any proposed transfer of all or any part of such Transferring Member's Membership Interest in the Company, shall first give written notice to the other Members of the proposed transfer and the terms of the proposed transfer (such notice being hereinafter referred to as the "First Offer Notice").

  • In the event the Transferring Member fails, prior to such date, to consummate such proposed transfer, then prior to any subsequent transfer of all or any part of the Transferring Member's Interest in the Company, the Transferring Member shall be required to give the Members Notice thereof, and the right of first refusal provisions described in this Section 8.4 shall again be exercisable with respect thereto.

  • Any such Class A Units not Transferred by the Transferring Member(s) during such ninety (90)-calendar day period shall again be subject to the provisions of this Section 11.4 upon any subsequent proposed Transfer.


More Definitions of Transferring Members

Transferring Members those of the Relevant Employees:
Transferring Members those Transferring Employees who join the Transferee Scheme on the Pension Transfer Date and who elect that their accrued rights under the GEC Scheme are transferred to the Transferee Scheme who are still in the service of a UK Pensions Company at the time of such election.
Transferring Members means those Joining Members who pursuant to paragraph 3.3 elect or consent in such form as the Seller may reasonably require, such form to include a discharge and indemnity in favor of the Seller and the Seller's UK Pension Plan for any liability to or in respect of the Transferring Members to provide any further benefits in respect of their accrued rights (other than accrued rights to guaranteed minimum pensions which are to be retained by the Seller's UK Pension Plan) under the Seller's UK Pension Plan to a payment (in cash or in assets) being made by the Seller's UK Pension Plan to the Buyer's UK Pension Plan in lieu of their accrued rights under the Seller's UK Pension Plan who do not withdraw that election or consent..
Transferring Members. Those Relevant Members who remain in pensionable service under the Vendors' Scheme until the Scheme Transfer Date and, for the avoidance of doubt, shall include such members who cease to be active members of the Readicut International Executive Pension Scheme during the Interim Period but who become members in pensionable service of the Readicut International Pension Fund also during the Interim Period and who consent in writing in a form acceptable to the Vendors and the Purchasers to join the Purchaser's Scheme and within the period of 1 month after the Scheme Transfer Date consent in writing to the transfer of their benefits from the Vendors' Scheme to the Purchaser's Scheme and in respect of whom scheme assets and appropriate liabilities for past service benefits are transferred from the Vendors' Scheme to the Purchaser's Scheme in pursuance of this Schedule 8.
Transferring Members means those members of the Allied Fund who are employed by the BVP Employers on the day preceding Completion and who remain so employed on the day preceding the Transfer Date and who accept the offer of membership of the Bass Plan in accordance with paragraph C below, but excluding those who decline to transfer their benefits in the Allied Fund to the Bass Plan. The parties hereto will use all reasonable endeavours to ascertain the identities of the Transferring Members no later than one month after the Transfer Date.
Transferring Members means those Active Members who join the Purchaser's Scheme on the Pension Transfer Date and who elect that their accrued rights under the GEC Plan are transferred to the Purchaser's Scheme in substantially the same form as is attached as Appendix B. Otherwise the words and expressions used in this Schedule are as defined in Schedule 1 to this Agreement.
