TSA Content definition

TSA Content means: (a) all Non-Shopping Features, text, graphics, photographs, video, audio and/or other data or information (excluding Customer Information) owned or controlled by Licensor and furnished by Licensor to Licensee and intended solely for use in connection with the XXX.xxx Site; (b) Licensor selected print advertisements for the TSA Stores or the goods and services offered by Licensor in the TSA Stores, including run of press and insert advertisements which appear in newspapers and magazines, as well as printed in store signage, point of sale and display signage and information promoting events and the goods and services offered in the TSA Stores; and (c) such information concerning the goods and services offered by Licensor in the TSA Stores in the U.S. as Licensor owns or controls, and which Licensor furnishes to Licensee for use in connection with the XXX.xxx Site, including information which is related to the sourcing, manufacturing, development, design, fabrication, construction, test procedures, performance features, quality control standards, merchandise specifications, reliability standards, distribution, costs, allowances, pricing, rebates, sizes, colors, decoration, display, margins, vendor economic information, and similar information and know- how necessary to the procurement, merchandising, inventory management and sales of such goods and services in the TSA Stores.
TSA Content means the following content or information, as furnished by Retailer to XXX.xxx subject to the terms of this Agreement and the License Agreement: (a) text, graphics, photographs, video, audio and/or other data or information relating to any subject furnished by Retailer to XXX.xxx and intended solely for use in connection with the TSA Site; (b) Retailer selected print advertisements for the TSA Stores or the goods and services offered by Retailer in the TSA Stores, including run of press and insert advertisements which appear in newspapers and magazines, as well as printed in store signage, point of sale and display signage and information promoting events and the goods and services offered in the TSA Stores; and (c) such information concerning the goods and services offered by Retailer in the TSA Stores in the U.S. as Retailer possesses and has the right to transfer and license to XXX.xxx, and which Retailer deems necessary to successful operation of the TSA Site, including, without limitation, information which is related to the sourcing, manufacturing, development, design, fabrication, construction, test procedures, performance features, quality control standards, merchandise specifications, reliability standards, distribution, product costs, other costs, allowances, rebates, sizes, colors, decoration, display, pricing, margins, vendor economic information, and similar information and know-how necessary to the procurement, merchandising, inventory management and sales of such goods and services in the TSA Stores.
TSA Content means: (a) text, graphics, photographs, video, audio and/or other data or information relating to any subject furnished by Licensor to Licensee and intended solely for use in connection with the TSA Site; (b) Licensor selected print advertisements for the TSA Stores or the goods and services offered by Licensor in the TSA Stores, including run of press and insert advertisements which appear in newspapers and magazines, as well as printed in store signage, point of sale and display signage and information promoting events and the goods and services offered in the TSA Stores; and (c) such information concerning the goods and services offered by Licensor in the TSA Stores in the U.S. as Licensor possesses and has the right to transfer and license to Licensee, and which Licensor deems necessary to successful operation of the TSA Site, including, without limitation, information which is related to the sourcing, manufacturing, development, design, fabrication, construction, test procedures, performance features, quality control standards, merchandise specifications, reliability standards, distribution, costs, allowances, rebates, sizes, colors, decoration, display, pricing, margins, vendor economic information, and similar information and know-how necessary to the procurement, merchandising, inventory management and sales of such goods and services in the TSA Stores.

Examples of TSA Content in a sentence

  • Licensee will segregate and take all necessary measures to prevent the TSA Content, which is in the possession and control of Licensee, from being commingled with the content of any TSA Competitor.

  • Each party shall notify the other of all errors, omissions, and/or inaccuracies in the TSA Content, as developed, used or authorized by Licensee, within forty-eight (48) hours after it becomes aware thereof.

  • Such monitoring shall in no way lessen or limit Licensee's obligation to use the Marks, Names and TSA Content only as set forth herein.

  • Notwithstanding the foregoing, aside from negligent implementation of its own related activities, Licensee shall not bear any indemnification duty hereunder with respect to (i) any advertising or promotional program or project initiated by Licensor and directed at the TSA Stores, or (ii) TSA Content provided by Licensor.

  • Nothing contained herein shall permit Licensee (or any of its Affiliates) to use or authorize others to use the TSA Content in any manner on or in connection with any site of any TSA Competitor.

  • Except for the Licensed Property, Non-Shopping Features and TSA Content to be provided by Licensor hereunder, Licensee shall provide all content, creative, design, programming and related services necessary to the design, development, operation and updating of the XXX.xxx Site, including incorporating the functionality and features provided for herein.

  • Such TSA Content as would be deemed "Confidential Information" as defined herein shall be governed by Section 19.3.

  • Licensor will provide Licensee with the Non-Shopping Features information, TSA Content and Licensed Property necessary for the operation of the XXX.xxx Site and provision of the Services in connection therewith.

  • With XXX.xxx's prior written consent and cooperation, Retailer may electronically transmit or upload TSA Content directly to the Web Site.

  • The Parties acknowledge that Retailer shall be able to deliver certain "static" information, such as TSA Store locations, promptly to XXX.xxx, and that other TSA Content, such as TSA Content concerning the merchandise to be sold on the TSA Site, may be delivered at a later date, closer to the Launch Date.

Related to TSA Content

  • User Content means any comments, remarks, data, feedback, content, text, photographs, images, video, music, or other content or information that you or any Site Visitor or User post to any part of the Site or provide to Upwork, including such content or information that is posted as a result of questions.

  • Customer Content means all files, content (including audio, video, text, or images), and data (including Personal Data) belonging to or controlled by the Customer, which is uploaded into the Products and Services or otherwise provided to Showpad for processing pursuant to the Agreement.

  • VOC content means the total weight of VOC in a product expressed as a percentage of the product weight (exclusive of the container or packaging), as determined pursuant to sections 94515(a) and (b).

  • Third Party Content means all software, data, text, images, audio, video, photographs and other content and material, in any format, that are obtained or derived from third party sources outside of Oracle that You may access through, within, or in conjunction with Your use of, the Services. Examples of Third Party Content include data feeds from social network services, rss feeds from blog posts, Oracle data marketplaces and libraries, dictionaries, and marketing data. Third Party Content includes third-party sourced materials accessed or obtained by Your use of the Services or any Oracle-provided tools.

  • Your Content means all software, data (including Personal Data), text, images, audio, video, photographs, non-Oracle or third party applications, and other content and material, in any format, provided by You or any of Your Users that is stored in, or run on or through, the Services. Services under the Master Agreement, Oracle Software, other Oracle products and services, and Oracle intellectual property, and all derivative works thereof, do not fall within the meaning of the term “Your Content”. Your Content includes any Third Party Content that is brought by You into the Services, by Your use of the Services or any Oracle provided tools.

  • Users means, for Services, those employees, contractors, and end users, as applicable, authorized by You or on Your behalf to use the Services in accordance with this Agreement and Your order. For Services that are specifically designed to allow Your clients, agents, customers, suppliers or other third parties to access the Services to interact with You, such third parties will be considered “Users” subject to the terms of this Agreement and Your order.

  • User Generated Content means any content that originates from End Users in any format, including graphics, text, or voice content published through or as part of a Software Title.

  • Recycled content means the percentage of a product composed of recovered material, or post- consumer recovered material, or both.

  • Pupil Generated Content The term “pupil-generated content” means materials or content created by a pupil during and for the purpose of education including, but not limited to, essays, research reports, portfolios, creative writing, music or other audio files, photographs, videos, and account information that enables ongoing ownership of pupil content.

  • Trained personnel means knowledgeable in the following through instruction and/or practice:

  • Service Areas means those areas within the Building used for stairs, elevator shafts, flues, vents, stacks, pipe shafts and other vertical penetrations (but shall not include any such areas for the exclusive use of a particular tenant).

  • Brand Content Policy means, collectively, Xxxxx’s content policy referenced in Exhibit A and any other policy, guidelines, terms of use, terms of service, code of conduct, or instructional materials provided or made available by Brand or any of its affiliates to Influencer from time to time.

  • End Users means a Third Party residence or business that subscribes to Telecommunications Services provided by any of the Parties at retail. As used herein, the term “End User(s)” does not include any of the Parties to this Agreement with respect to any item or service obtained under this Agreement.

  • Custom Local Area Signaling Service Features (CLASS) means certain call-management service features that are currently available from SBC-13STATE’s local networks. These could include: Automatic Call Back; Automatic Recall; Call Trace; Caller Identification and related blocking features; Calling Number Delivery; Customer Originated Trace; Distinctive Ringing/Call Waiting; Selective Call Forward; and Selective Call Rejection.

  • Signaling System 7 (SS7) means a signaling protocol used by the CCS Network.

  • Service Users means each person who is referred or presents to the Provider as part of the provision of the Services;

  • End User Data means any information or data of any kind that personally identifies (or that can be used, together with other information or data, to personally identify) an End User.
