If the INVH TSR for the Performance Period relative to the Index Return falls between the two examples set forth above, then the Relative TSR Percentage shall be determined using linear interpolation (and rounded to the nearest whole percentage point).
The percentage of the TSR Percentage that will be paid out, if any, is based on the following table: Relative TSR PerformancePercentile Ranking Percentage Payoutof TSR Percentage 85th or above 200% 50th 100% 25th 50% Below 25th 0% To the extent that the Company’s Relative TSR Performance ranks in a percentile between the 25th and 85th percentile in the table above, then the TSR Percentage payout will be interpolated between the corresponding TSR Percentage payout set forth above.
For the avoidance of doubt, to the extent TSR Value as of such Change in Control does not represent at least an increase over the Baseline Price equal to the Minimum Change in Control TSR Percentage, no 2013 Units shall Fully Vest.
No payment will be made if the TSR Performance is in the 4th Quartile, except that a payment of 25% of the TSR Percentage will be made if the Company’s TSR Performance was at least 10% on a compounded annual basis for the Performance Period.
For example, if the Index Return for the Performance Period is negative one percent (-1.0%) and the INVH TSR is one percent (1.0%), then the Relative TSR Percentage shall be 100%.
The first step in determining the TSR Percentage is to calculate the Company’s TSR percentile rank as described on Exhibit B (“How to Calculate TSR Percentile Rank.”).

Upon the earlier of (a) a termination of this Agreement pursuant to Section 12(b)(i), (b) a termination of this Agreement pursuant to Section 12(c)(ii), and (c) the date that is 36 full calendar months after the date of this Agreement, the Company shall pay to the Manager, on the date of the relevant termination or other event or as promptly thereafter as practicable, a cash promote payment (the “Promote”) if the Company TSR Percentage exceeds 10% during the Measurement Period.
As soon as reasonably practicable following the completion of the Performance Period, the Administrator shall determine the Company TSR Percentage, the MSCI Index TSR Percentage, the MSCI Index Relative Performance, the Performance Vesting Percentage, the number of Class D Units granted hereby that have become Performance Vested Base Units, the number of Distribution Equivalent Units and the number of Performance Vested Units, in each case as of the completion of the Performance Period.
The number of Shares payable is the sum of the number of PSUs awarded multiplied by the TSR Percentage payable plus the number of PSUs awarded multiplied by the CGP Percentage payable.
